("Riverfront"), a Washington limited liability company; and (ii) the CITY OF EVERETT,a municipal corporation of the State of Washington(the"City") (all three parties, the "Parties"). The Parties executed the Amended and Restated Property Disposition Agreement as of May 17, 2019 (the "Agreement') which amends and restates the Property Disposition Agreement, and all the amendments thereto, entered into between the City and PNW and Riverfront or between the City and the predecessors in interest to PNW and Riverfront, with respect to the "Developer Property," which is described on the attached Exhibit A. Riverfront originally took title to the Developer Property under the name"Riverfront Commercial, L.L.C."
