a. The total cost of the project (total project cost) for the purposes of this Agreement is <br /> $100,000.00 dollars; PROVIDED that, if the total cost of the project when completed, or <br /> when this Agreement is terminated, is actually less than this stated total cost, the actual <br /> cost shall be substituted herein. <br /> b. The value of the local match contributions by the SUBRECIPIENT to the project shall be <br /> $25,000.00 dollars, constituting 25 percent, at minimum, of the total project cost. The <br /> SUBRECIPIENT's local match contributions may be cash or in-kind, must be from a non- <br /> federal source, must be reasonable, allowable and allocable, and must comply with all <br /> Federal requirements and regulations. <br /> c. When the DEPARTMENT enters into an agreement with the Federal Emergency <br /> Management Agency (FEMA) to contribute federal funds to this project, that federal <br /> contribution will be no more than $75,000.00 dollars, constituting 75 percent, at <br /> minimum, of the total project cost, or the allowable federal percentage of the total project <br /> cost, whichever is less. <br /> d. The DEPARTMENT shall not be obligated to pay any amount beyond that being <br /> contributed by FEMA as set out in Subsection c above, unless that additional amount <br /> has been approved in advance by both the DEPARTMENT and SUBRECIPIENT and is <br /> incorporated by written amendment into this Agreement. <br /> e. A written amendment will be required if the SUBRECIPIENT expects cumulative <br /> transfers between project budgets, as identified in the Project Budget (Attachment 5) <br /> and Statement of Work and/or Description of Project (Attachment 3), to exceed 10% of <br /> the Grant Agreement Amount. Any changes to project budgets other than in compliance <br /> with this paragraph will not be reimbursed. <br /> f. The funding for this project is provided by FEMA grant award. The award letter from <br /> FEMA is dated August 11, 2016, and is incorporated in and made a part of this <br /> Agreement as Attachment 6. <br /> 3. GRANT AGREEMENT PERIOD <br /> Activities payable under this Agreement and to be performed by the SUBRECIPIENT under this <br /> Agreement shall only be those after the obligation of federal funds on May 29, 2015 and shall <br /> terminate on October 30, 2019. This period shall be referred to herein as the Agreement <br /> Period and/or Period of Performance, unless expressly stated otherwise. Costs incurred during <br /> the Agreement Period shall include pre-award costs authorized in writing by FEMA as well as <br /> eligible costs incurred after the effective date of the Agreement Period and before termination. <br /> a. The SUBRECIPIENT shall complete the project as described in the FEMA approved <br /> project application WA-2015-005 incorporated and made a part of this Agreement as <br /> Attachment 7, and as described in Attachments 3, 4 and 5. In the event of extenuating <br /> circumstances, the SUBRECIPIENT may request, in writing, that the DEPARTMENT <br /> extend the deadline for Agreement completion. <br /> The DEPARTMENT may, in its sole discretion, extend the deadline only by written <br /> amendment to this Agreement and contingent upon FEMA approval. <br /> b. No expenditure made, or obligation incurred, before or after the Agreement Period shall <br /> be eligible, in whole or in part, for grant funds with the exception of pre-award costs <br /> authorized in writing by FEMA. In addition to any other remedy the DEPARTMENT may <br /> have under this Agreement, the amounts set out in Article II, section A,2. Project <br /> Funding, above, may be reduced by the Department in its sole discretion to exclude any <br /> such expenditure from participation. <br /> c. Failure to complete the project in a timely manner, as outlined in Attachment 4, is a <br /> material breach of this Agreement for which the DEPARTMENT is entitled to termination <br /> or suspension under Attachment 2, section A.35. <br /> 4.
