6 <br /> of the upcoming transition, the transition plan shall address how the <br /> Contractor intends to maintain/retain qualified personnel to meet its <br /> performance obligations under the Contract. <br /> D. Records. The transition plan shall provide for an orderly transfer of all <br /> records, data, files or other information, regardless of source, kept by the <br /> Contractor arising out of this Contract to the subsequent service provider or <br /> the City. No records, data, or information, regardless of source, shall be <br /> erased, discarded, removed from the premises or modified without the <br /> specific written approval of the City. Any information, spreadsheets, or data <br /> sets which may be required by this Contract, whether in hard copy, tape or <br /> other electronic media, shall become the property of the City at the <br /> conclusion of the Contract. Any loss or damage to such records, materials or <br /> information, for any reason, shall be replaced /recreated by the City and the <br /> cost for such restoration shall be paid by the Contractor. This requirement <br /> shall not include materials proprietary to the Contractor except those items <br /> necessary to satisfy reporting and other requirements of this Contract. <br /> E. The transition plan shall address the Contractor's plan, if any, to "wind down" <br /> its operations in anticipation of the transfer of its operations to a subsequent <br /> service provider or the City as the case may be; provided that, in no event <br /> shall the Contractor be relieved from full compliance with the performance <br /> requirements of the Contract. The transition plan shall address the <br /> Contractor's plans, if any: to begin to reduce inventory; and to terminate, <br /> assign or sublease existing equipment, vehicle, service and facility leases, <br /> contracts, and subcontracts. <br /> F. Vehicles: To the extent the Contractor expects to transfer vehicles, <br /> equipment and/or facilities to a subsequent service provider or the City, the <br /> transition plan shall address the schedule(s) for such transfers and the <br /> transfer of all relevant records related thereto. Such records shall include but <br /> not be limited to leases, contracts, maintenance records, operating manuals, <br /> warranties, financing documents, and any other documents or records related <br /> to the vehicles, equipment and/or facilities to be transferred. <br /> The City shall have thirty (30) days to accept or reject the transition plan. In the event <br /> that the City rejects the transition plan, the City shall advise the Contractor of the <br /> changes to the transition plan that must be made by the Contractor to meet the <br /> requirements of this Subsection. The Contractor shall make the necessary changes to <br /> the transition plan within thirty (30) days. If the Contractor cannot or will not make the <br /> necessary changes, the City may make the changes, and the cost of the City in <br /> performing this work shall be the responsibility of the Contractor. <br /> Both parties shall operate in accordance with the approved transition plan for the <br /> remainder of the term of the Contract. Any approved changes to the transition plan <br /> shall be documented in writing signed by both parties. <br /> 26 of 34 <br /> 99 <br />
