13 <br /> Green raiding Certification Institute- <br /> CL ESD® Project Cattificato©n Agreement <br /> Version 4-Released January 11, 2011 <br /> BY ACCEPTING THIS AGREEMENT YOU ACKN iWLEIP_E THAT YOU ARE FULLY AWARE OF AN II AGREE T. <br /> ALL IF THE FOLLOWING TERMS,CONDITIONS,AND PROVISDPNS: <br /> This LEED® Project Certification Agreement ("Agreement") is entered into between you and the Green Building <br /> Certification Institute ("us","our"or "GBCI®"),a non-profit corporation of the District of Columbia located at 2101 L <br /> Street, NW,Suite 500,Washington, DC 20037,and constitutes a binding agreement between you and us. <br /> The purpose of this Agreement is to allow a project that has been previously registered under the LEED certification <br /> program subject to a LEED Project Registration Agreement("Registration Agreement")to progress to the application <br /> submittal and review phase of the certification process. Upon your acceptance of this agreement,and the payment of <br /> certain fees,you may submit your application to GBCI via LEED Online and receive limited review services as necessary to <br /> evaluate your project and determine if the same is fit for LEED certification. <br /> "LEED certification"refers to GBCI's determination that a project has demonstrated compliance with all rating system <br /> prerequisites and minimum program requirements,and has accumulated the minimum number of points necessary to <br /> achieve a particular level of LEED certification such as LEED CertifiedTM, LEED SilverTM,LEED Gold"or LEED Platinum" as <br /> outlined in the rating system under which it is registered. GBCI administers the LEED certification program and confers <br /> LEED certification under license from the U.S. Green Building Council, Inc. ® ("USGBC®")a non-profit corporation of the <br /> District of Columbia located at 2101 L Street, NW, Suite 500,Washington, DC 20037. <br /> To enter into this Agreement you must be either the owner of this project or a properly designated agent of the owner: <br /> The word"owner"refers to the person or entity that holds the legal right to possess and control the real property for <br /> the project being registered. If you enter into this agreement as an owner,you hereby warrant and represent that <br /> you are the owner of this project and that you have the authority to enter this Agreement. <br /> An"agent"is a representative of an owner who has been expressly granted actual authority by the owner to enter <br /> into this Agreement on the owner's behalf.If you enter into this Agreement as an agent,you must identify the owner <br /> of the project. You hereby warrant and represent that you hold such actual authority and acknowledge and agree <br /> that we are relying on your representation. If subsequent to your acceptance of this Agreement it is determined that <br /> you are not the owner of this project, nor a duly authorized agent of the owner(s),you acknowledge and agree that, <br /> as between you and us,you shall become a party to this Agreement subject to the rights and liabilities stated herein; <br /> meaning,without limiting the foregoing,you shall be responsible for the entire liability of the entity or entities for <br /> which you lack the authority to bind. <br /> If this Agreement is being accepted by an agent on behalf of the owner,you must provide to us a properly executed <br /> Confirmation of Agent's Authority form signed by both the owner and the authorized agent before the commencement of <br /> any review services by us. <br /> 1. The Project.This Agreement relates solely to the project you have identified for review and which has been <br /> previously registered with GBCI. The services provided under this Agreement may not be transferred to another project <br /> at a different location. As used in this Agreement,the term"Project"refers to all real or physical property,including the <br /> building(s),space(s),structure(s), land,fixtures, etc. which are being registered as a single entry in LEED Online. If you <br /> are participating in the LEED Multiple Buildings And On-Campus Building Projects Program,the term"Project"may refer <br /> to a Master Site which collectively represents,certain common aspects of numerous individually registered projects. <br /> 2.
