1 <br /> Board seat shall be converted for shared representation,to be shared by the Principals with the <br /> smallest Population. In the event that the number of Principals sharing representation is not <br /> evenly divisible by the number of shared seats,then the Principals with the larger Population <br /> shall be given the benefit of the allocation(e.g.,if 7 Principals are to share 2 seats,then the 3 <br /> Principals with the largest Population(within the group sharing representation) shall share one <br /> (1) seat, and the four(4)Principals with the smallest populations shall share the second seat). If <br /> the number of Principals exceeds 59,then the same process as described above shall be repeated, <br /> that is, moving to a maximum of six(6) Principals sharing a seat, and so on(seven (7)Principals <br /> sharing a seat, etc.) as necessary to accommodate additional Principals. <br /> d. Method of Determining Selection of Subscriber Representative(s) or Shared <br /> Voting Board Member(s). Subscribers shall initially share one(1)non-voting seat on the <br /> Executive Board. The Executive Board may by Supermajority Vote increase the number of non- <br /> voting seats for Subscribers, and may define how such additional seats are allocated among <br /> Subscribers. Unless otherwise described in the Bylaws, Subscribers sharing representation of the <br /> non-voting Board Member shall determine the means by which to select their Executive Board <br /> representative and shall inform the Board of their choice at the time of the biennial Executive <br /> Board Officer elections(or at such other times as may be required in the event of a vacancy). <br /> Similarly,those Principals sharing representation on a single Executive Board seat shall <br /> determine the means by which to select the position, and shall make the determination at the <br /> same time as the biennial Executive Board Officer elections (or at such other times as may be <br /> • <br /> required in the event of a vacancy). <br /> i. Unless otherwise described in the Bylaws, in the event that Subscribers or <br /> Principals are unable to agree on a shared representative or Board Member on <br /> a timely basis,the remaining Executive Board Members may make the <br /> selection for them by a vote of the Executive Board. <br /> ii. Individuals representing multiple Subscribers or Principals are expected to <br /> confer with the Cities they represent. <br /> e. Qualifications to Serve on Executive Board. To serve on the Executive Board, as <br /> either a voting or non-voting Board Member, a person must be the appointing city's Chief <br /> Financial Officer(e.g., finance director or city treasurer, or equivalent), or their deputy or <br /> equivalent. An individual representing multiple cities on a single Executive Board seat, or <br /> serving as the non-voting Subscriber representative shall similarly hold such a position within <br /> one of the Subscriber cities sharing such representation. <br /> £ No Compensation for Serving on Executive Board. All Executive Board <br /> Members and their alternates shall serve without compensation from the PORTAL AGENCY. <br /> However,the PORTAL AGENCY may pay for or reimburse Executive Board Members and <br /> alternates for out-of-pocket costs related to service on the Executive Board. <br /> 12 <br /> v. 11.5.13 17 <br />
