2 <br /> PRIORITY AND SUBORDINATION AGREEMENT <br /> This Priority and Subordination Agreement ("Agreement") is made and entered into as <br /> of , 2014, by and among the Washington State Department of <br /> Commerce, a department of the state of Washington ("Commerce"); Snohomish <br /> County, a political subdivision of the State of Washington ("County"), the City of <br /> Everett a political subdivision of the State of Washington ("City") and Domestic <br /> Violence Services of Snohomish County, a Washington non-profit corporation <br /> ("Owner/Agency"). Commerce, Snohomish County and the City of Everett are <br /> collectively referred to as the "Lenders". <br /> RECITALS <br /> Owner's Interest. Owner owns the real property (the "Property") located at 1110 <br /> Rainier Avenue, Everett, WA 98201, legally described in Exhibit A attached hereto and <br /> incorporated herein by reference, an abbreviated legal description of which is as <br /> follows: <br /> A parcel in the Southeast quarter of the Northwest quarter (SE 1/4 NW 1/4) of <br /> Section 17, Township 29 North, Range 5 East of the Willamette Meridian, <br /> Snohomish County, Washington described as: <br /> Beginning in the North line of 12th Street, as laid out and established, at a point <br /> 200.00 feet East of the West line of said Southeast quarter of the Northwest <br /> quarter, said point being the Southeast corner of lands purchased by George <br /> Bennett under contract of sale filed for record under Snohomish County Auditor's <br /> File No. 1195331; thence North, parallel to the West line of said Southeast <br /> quarter of the Northwest quarter, a distance of 600.00 feet; thence East 215.84 <br /> feet; thence South 1°35' West 129.05 feet, more or less, to a point 30.00 feet <br /> West of the West boundary line of lands conveyed to Everett School District No. <br /> 2 by County Treasurer's Deed No. 3312, File No. 827594, recorded in Volume <br /> 383 of Deeds, page 254; thence South 471.00 feet, more or less, parallel to and <br /> 30.00 feet West of said West line, to the North line of said 12th Street; thence <br /> West 212.28 feet to the point of beginning. <br /> EXCEPTING THEREFROM any portion lying within the boundaries of Rainier <br /> Avenue. <br /> On September 11, 2013, the City of Everett Binding Site Plan No. 13-02 ("Binding Site <br /> Plan") was recorded under Snohomish County Recording No. 201309115002. The <br /> Binding Site Plan divided the Owner's property into two lots.
