CITY <br /> AMENDMENT NO. 1 <br /> TO LEASE <br /> ao,�. y 15 a <br /> THIS AMENDMENT NO. 1 TO LEASE (this "Amendment"), dated as of �ezr�r�r—_'z^ <br /> (the "Effective Date"), amends the terms of that certain Lease, dated on or about August 30, <br /> 2019 (the "Lease"), by and between Claremont Village Station LLC, a Delaware limited liability <br /> company ("Landlord") and Vera Whole Health, Inc., a Washington corporation ("Tenant"). All <br /> capitalized terms not otherwise defined herein shall have the meanings set forth in the Lease. <br /> RECITALS <br /> A. Under the Lease, the Premises will be used by Tenant for a medical clinic. Under <br /> the terms of that certain agreement dated June 7, 2019 (the "Clinic Agreement"), between <br /> Tenant and the City of Everett, a Washington municipal corporation (the "Cit}"), Tenant will be <br /> providing clinic services to City employees and others, with the City having certain <br /> reimbursement obligations to Tenant for costs of rent and tenant improvements. <br /> B. In order for such reimbursement, the City has required Tenant to obtain certain <br /> amendments to the Lease. The purpose of this Amendment is to formalize Tenant and Landlord's <br /> agreement to those amendments, as set forth herein. This Amendment benefits Tenant because <br /> it will allow Tenant to receive reimbursement. This Amendment benefits Landlord because it is <br /> in Landlord's interest for the City to have certain obligations regarding rent, as set forth below. <br /> This Amendment benefits the City because it protects the City's investment. <br /> AGREEMENT <br /> NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which are <br /> hereby acknowledged, the parties hereto agree as follows: <br /> 1. City Notice Address. Landlord shall give the City a copy of all notices Landlord <br /> sends to Tenant at the following address at the same time as Landlord gives such notice to <br /> Tenant. The following is added to "For Tenant" in "Notice Address" on page 2 of the Lease: <br /> WITH A COPY TO: <br /> Office of the City Attorney <br /> City of Everett <br /> 2930 Wetmore Ave, Suite 10-C <br /> Everett, WA 98201 <br /> 2. Assignment to City. Section 23 of the Lease is amended by adding the underlined <br /> text: <br /> 23. TENANT ASSIGNMENT. Tenant shall not assign, transfer, encumber, or sublease this <br /> Lease without the prior written consent of Landlord, which shall not be unreasonably <br />
