17 <br /> Dollars ($66,000.00) for the change of annual rent escalation in this Second Addendum (the <br /> "Escalation Consideration"). Lessee will pay to Lessor the Signing Bonus and the Escalation <br /> Consideration within sixty (60) days of Lessor's execution of this Second Addendum. In the <br /> event that this Second Addendum (and any applicable memorandum) is not fully executed by <br /> both Lessor and Lessee for any reason,Lessee shall have no obligation to pay the Signing Bonus <br /> or the Escalation Consideration to Lessor. <br /> 9. Ratification. <br /> a) Lessor and Lessee agree that Lessee is the current lessee under the Lease, the <br /> Lease, as amended by the First Addendum and this Second Addendum, is in full force and effect, <br /> and the Lease contains the entire agreement between Lessor and Lessee with respect to the <br /> Watertank Sites. <br /> b) Lessor agrees that any and all actions or inactions that have occurred or should <br /> have occurred prior to the date of this Second Addendum are approved and ratified and that no <br /> breaches or defaults exist as of the date of this Second Addendum. <br /> c) Each party represents that it is duly authorized and has the full power, right and. <br /> authority to enter into this Second Addendum and to perform all of its obligations under the <br /> Lease as amended. <br /> 10. IRS Form W-9. Lessor agrees to provide Lessee with a completed IRS Form <br /> W-9, or its equivalent, upon execution of this Second Addendum and at such other times as may <br /> be reasonably requested by Lessee. In the event any of the Watertank Sites are transferred, the <br /> succeeding lessor shall have a duty at the time of such transfer. to provide Lessee with a <br /> completed IRS Form W-9, or its equivalent, and other related paper work to affect a transfer in <br /> the rent to the new lessor. Lessor shall provide to Lessee the IRS Form W-9 within thirty (30) <br /> days after Lessee's future requests. <br /> 11. Remainder of Agreement Unaffected. The parties hereto acknowledge that except <br /> as expressly modified hereby, the Lease remains unmodified and in full force and effect. In the <br /> event of any conflict or inconsistency between the terms of this Second Addendum and the Lease <br /> or between the terms of this Second Addendum and the First Addendum, the terms of this <br /> Second Addendum shall control.
