17 <br /> 2. Original Lessee's successor in interest, VoiceStream PCS III Corporation, entered <br /> into an Addendum to Communications Antenna Site Lease Agreement, effective December 1, <br /> 1999 (the"First Addendum"). <br /> 3. T-Mobile West LLC is currently the lessee under the Lease as ultimate successor <br /> in interest to the Original Lessee. <br /> 4. The Site may be used for the purpose of constructing,maintaining and operating a <br /> communications facility, including tower structures, equipment shelters, cabinets, meter boards, <br /> utilities, antennas, equipment, any related improvements and structures and uses incidental <br /> thereto. <br /> 5. The Lease had an initial term that commenced on May 1, 1998 and expired on <br /> December 31, 2003. The Lease provides for two (2) extensions of five (5) years each, both of <br /> which were exercised by Lessee. <br /> 6. City and Lessee have entered into a Second Addendum to Communications <br /> Antenna Site Lease Agreement (the "Second Addendum"), of which this is a Memorandum, <br /> providing for six (6) additional Renewal Terms of five (5) years each. Pursuant to the Second <br /> Addendum,the final Renewal Term expires on December 31, 2043. <br /> 7. If requested by Lessee, City will execute, at Lessee's sole cost and expense, all <br /> documents required by any governmental authority in connection with any development of, or <br /> construction on,the Site,including documents necessary to petition the appropriate public bodies <br /> for certificates, permits, licenses and other approvals deemed necessary by Lessee in Lessee's <br /> absolute discretion to utilize the Site for the purpose of constructing,maintaining and operating a <br /> communications facility, including without limitation, tower structures, antenna support <br /> structures, cabinets, meter boards, buildings, antennas, cables, equipment and uses incidental <br /> thereto. City agrees to be named applicant if requested by Lessee. In furtherance of the <br /> foregoing, City shall be entitled to no further consideration with respect to any of the foregoing <br /> matters. <br /> Site Name: Everett Water Tank 2 <br /> Business Unit 4:823968 1 1 8 <br />
