17 <br /> CITY OF EVERETT <br /> SECOND ADDENDUM TO <br /> COMMUNICATIONS ANTENNA SITE <br /> LEASE AGREEMENT <br /> THIS SECOND ADDENDUM TO COMMUNICATIONS ANTENNA SITE LEASE <br /> AGREEMENT ("Second Addendum") is entered into this day of <br /> 2014, by and between the CITY OF EVERETT, a municipal corporation of the State of <br /> Washington, with a mailing address of 2930 Wetmore Avenue,Everett, Washington(hereinafter <br /> referred to as "Lessor") and T-MOBILE WEST LLC, a Delaware limited liability company, by <br /> and through its attorney in fact, CCTMO LLC, a Delaware limited liability company, with a <br /> mailing address of 2000 Corporate Drive, Canonsburg, Pennsylvania 15317 (hereinafter referred <br /> to as"Lessee"). This Second Addendum shall be effective as of January 1,2014. <br /> RECITALS <br /> WHEREAS, Lessor and Western PCS BTA 1 Corporation ("Original Lessee") entered <br /> into a Communications Antenna Site Lease Agreement dated April 8, 1998 (the "Lease") <br /> whereby Lessor leased to Original Lessee certain real property, together with access and utility <br /> easements, on three sites located in Snohomish County, Washington(the "Watertank Sites"), all <br /> located within certain real property owned by Lessor; and <br /> WHEREAS, Original Lessee's successor in interest, VoiceStream PCS III Corporation, <br /> entered into an Addendum to Communications Antenna Site Lease Agreement, dated April 8, <br /> 1998, and having an effective date of December 1, 1999 (the"First Addendum"); and <br /> WHEREAS, T-Mobile West LLC is currently the lessee under the Lease as ultimate <br /> successor in interest to the Original Lessee; and <br /> WHEREAS, the Lease had an initial term that commenced on May 1, 1998 and expired on <br /> December 31, 2003. The Lease provides for two (2) extensions of five (5) years each, both of <br /> which were exercised by Lessee.
