("PES") requires that Customer counter-sign below to validate this Purchase Order (the "Purchase Order"). This Purchase Order and the attached terms and conditions that are incorporated herein constitute a valid and binding agreement between Customer and PES. PES requires execution of a Purchase Order for all sales above $5,000 before applicable freight and taxes. The undersigned, on behalf of Customer, represents that he or she has the authority to sign this Purchase Order for Customer,that Customer is bound hereby and agrees to the terms,conditions and pricing denoted. Taxes, shipping and handling fees are estimates only and are subject to change at the time of order. Customer shall also pay the prices quoted for future sales, as well as excise and other applicable taxes, duties or charges for the acquired PES Offerings (as defined below). Customer may provide PES with a tax exemption certificate, if applicable.Shipping and handling applies to ground transportation only. ANNUAL RENEWAL TERMS The subscriptions for PES Offerings that are provided on a subscription basis (i.e., such as SaaS or cloud-based offerings) shall start on the Subscription Start Date (defined below), which is thirty (30) days after the Effective Date(also as defined below). The Subscription Start Date will not be modified due to Customer delays.
