AGREEAUNT <br /> BETWEEN CITY OF EVERETT AND VILLAGE THEA <br /> TRE <br /> This Agreement is by and between the City of Everett, a municipal corporation, (hereafter <br /> "City"), and Village Theatre, a non-profit corporation of the State of Washington, (hereafter <br /> "Theatre"). <br /> WHEREAS, City owns the Everett Performing Arts Center(hereafter"Center"), and <br /> desires to have a resident theater company present theatrical productions of high quality and <br /> broad community appeal; and <br /> WHEREAS, City also desires to contract for the services of Theatre administrative <br /> personnel to carry out other duties related to City-controlled activities occurring at the Center; <br /> and <br /> WHEREAS, Theatre is a non-profit performing arts organization which produces quality <br /> live theater and has thirty five (35)years of experience in managing theaters and presenting <br /> communities with performing arts entertainment that has broad community appeal; and <br /> WHEREAS, Theatre successfully managed the Center,presented theatrical productions <br /> of high quality and broad community appeal, and successfully provided theatrical education and <br /> performances for and by the children of the community; and <br /> WHEREAS,the City is desirous of Theatre continuing to manage the Center for the City <br /> and the Theatre is willing to continue its management of the Center for the City; and <br /> NOW, THEREFORE,IN CONSIDERATION of the mutual promises contained herein and <br /> the benefits to be derived by both parties, the parties agree as follows: <br /> I• TERM <br /> This Agreement is effective as of September 1, 2014 and expires on August 31, 2018, <br /> unless terminated sooner as provided herein. As used herein, the teitu "Year"means atwelve- <br /> month period commencing on the effective date. <br /> II. THEATRE SERVICES <br /> A. Performing Arts Productions <br /> Theatre shall present performing arts productions during the period from September 1, <br /> 2014 through August 31, 2018.
