11. City Poles Access & Security <br /> Company shall comply with the following: <br /> 11.1. Company is hereby granted a non-exclusive right to access the City Poles for <br /> installation,maintenance, operation,replacement, and/or repair of the Site Equipment. <br /> Company shall obtain all necessary Governmental Approvals prior to such <br /> maintenance operation and/ or repair. In the event that emergency repairs are <br /> necessary, Company shall immediately notify the City of the need for such repairs. <br /> Company may initiate such emergency repairs immediately, and shall apply for any <br /> necessary Government Approvals within forty-eight (48) hours after discovery of the <br /> emergency. <br /> 11.2. Company will perform such repairs during such hours that will minimally interfere <br /> with the City's primary use of the City Poles, which primary use hours are 8:00 am to <br /> 3:00 pm. Company is required to give forty-eight(48)hours advance notice to the City <br /> before accessing the City Poles to perform normal/regular maintenance of the Site <br /> Equipment; provided that Company shall be permitted access to the Site Equipment <br /> without being required to give notice in the event of an emergency, provided that the <br /> Company shall submit to the City, no later than fifteen (15) days after the emergency, <br /> a written report describing the emergency and the reason(s) why immediate access to <br /> the City Poles was required. In the event of(i) a public emergency, such as, but not <br /> limited to, road failure, evacuation, natural disasters, hazardous substance spills, fatal <br /> accidents, and/or (ii) during City use at the City Poles, Company's access may, at the <br /> reasonable discretion of the City, be temporarily limited or restricted; provided, that <br /> any temporary limitation or restriction in Company's access shall be restored as soon <br /> as the circumstances shall allow, as determined by the City, in its sole discretion. <br /> 11.3. The primary point of contact for the City with regard to Site Equipment maintenance <br /> and access, or any other concerns with regard to this Agreement, shall be Company's <br /> National Operations Center, the phone number for which is 1-800-264-6620. This <br /> number is staffed 24 hours per day,7 days a week,and any representative who receives <br /> a call will contact the appropriate office to address any concerns presented by the City. <br /> 11.4. Company shall meet with the City, and other telecommunications operators if <br /> necessary, upon request, to schedule and coordinate construction and maintenance of <br /> the City Poles, Site Equipment and use of the rights-of-way. <br /> 11.5. To the extent a City pole is not publicly accessible, then outside the City's regular <br /> business hours, Company shall be required to contact the on-call staff detailed on <br /> Exhibit G to make arrangements for City staff to provide access. Company shall be <br /> responsible for any reasonable costs incurred for the on-call time to respond to the <br /> after-hours access. Payment is due thirty (30) days after receipt of invoice. <br /> 12. Compliance with Laws; Hazardous Materials <br /> 12.1. Company shall, at all times and at its sole responsibility and expense, comply with all <br /> applicable laws and ordinances, orders, guidelines, policies, directives, rules and <br /> regulations of municipal, county, state and federal governmental authorities or <br /> 10 <br />
