35. Miscellaneous <br /> 35.1. Modifications <br /> This instrument contains all the agreements and conditions made between the parties <br /> hereto and may not be modified orally or in any manner other than by an agreement in <br /> writing signed by all parties thereto. No failure on the part of either party to enforce <br /> any covenant or provision herein contained, nor any waiver of any right hereunder, <br /> unless in writing signed by the waiving party, shall discharge or invalidate such <br /> covenant or provision or affect the right of either party to enforce the same in the event <br /> of any subsequent breach or default. <br /> 35.2. Broker's Fee <br /> If Company is represented by a real estate broker or other agency in this transaction, <br /> Company shall be fully responsible for any fee due such broker and shall hold the City <br /> and its employees and agents, harmless from any claims for a commission by such <br /> broker or agency. <br /> 35.3. Cooperation in Execution of Subsequent Documents <br /> The City and Company agree to cooperate in executing any documents necessary to <br /> protect the rights of the parties granted by this Agreement. <br /> 35.4. Headings <br /> The headings to paragraphs or sections of this Agreement are for convenience only, <br /> and shall have no effect on the construction or interpretation of any paragraph hereof. <br /> 35.5. Notices <br /> Except as otherwise designated in this Agreement, all notices hereunder must be in <br /> writing and shall be deemed valid if sent by certified mail, return receipt requested, or <br /> overnight delivery, addressed as follows (or any other addresses as designated by like <br /> notice): <br /> If to City: City of Everett <br /> Attn: Real Property Manager <br /> 3200 Cedar Street <br /> Everett, WA 98201 <br /> If to Company: Seattle SMSA Limited Partnership <br /> d/b/a Verizon Wireless <br /> 180 Washington Valley Road <br /> Bedminster,New Jersey 07921 <br /> Attention: Network Real Estate <br /> Each party may by notice in writing to the other party change its address for the purpose <br /> of this Agreement,which address shall thereafter be used in place of the former address. <br /> 29 <br />
