relating to the Services that the City determines qualify as the City's public records under the Act. If the City receives a public records request relating to this Contract or relating to the Services,the City shall seek to provide notice to Contractor at least ten(10)days before the City releases records pursuant to such public records request, but in no event will the City have any liability to Contractor for any failure of the City to provide such notice. In addition to its other indemnification and defense obligations under this Contract, Contractor shall indemnify and defend the City from and against any and all losses,penalties,fines,claims, demands, expenses (including,but not limited to,attorney's fees and litigation expenses), suits,judgments, or damage arising from or relating to any failure of Contractor to comply with this Section 8. 9. The parties acknowledge that this Contract document was inadvertently through administrative oversight not signed at the time of the issuance of the purchase order. The purchase order was issued on May 14, 2019. Accordingly, the parties are signing this Contract after discovery of the oversight. The parties agree that, regardless of the date this Contract is signed,this Contract is deemed to have been effective as of the date of the issuance of the purchase order and to have been continuously in effect since that date.
