CITY Computer Sciences Corporation RISKMASTER Access Agreement Renewal April 27,2020-Prices Valid Until 30 Days Work Order No.4 This RISKMASTER Access Agreement Renewal ("Access Agreement Renewal") is effective May I, 2020, and is hereby made a part of and incorporated into the RISKMASTER Accelerator eXpress Access Agreement Work Order No. 1 dated effective December 31, 2015 and any amendments thereto (collectively "Agreement") by and between Computer Sciences Corporation ("CSC") and City of Everett ("CUSTOMER") located at 2930 Wetmore Ave, Everett, WA 98201. In the event that any provision of this Access Agreement Renewal and any • provision of the Agreement are inconsistent or conflicting,the inconsistent or conflicting provision of this Access Agreement Renewal shall be and constitute an amendment of the Agreement and shall control,but only to the extent that such provision is inconsistent or conflicting with the Agreement. WHEREAS.Customer and CSC contracted for RISKMASTER Access Services for a term certain; WHEREAS, Customer and CSC desire to extend the RISKMASTER Access Agreement Services for an additional term pursuant to the Agreements; NOW THEREFORE,CSC and CUSTOMER hereby agree as follows: 1. CUSTOMER is hereby engaging CSC to provide access to RISKMASTER under the terms of the "Agreements"in accordance with the following(the"Term"): o 3 Year Hosting Services Term(June 1,2020 to May 31,2023) 2. The annual access fee per year is $12,100.00 USD. 3. CSC will invoice CUSTOMER annually prior to the commencement of each annual term. Upon conclusion of the current Term,Customer shall have the option to renew this Work Order equal to the term set forth in Section 1 at the rate in effect for the period immediately preceding the time of renewal subject to a maximum increase equal to the percentage increase in the Consumer Price Index for all Urban Consumers (Professional Services) ("CPI"), published by the United States Bureau of Labor Statistics. Notwithstanding the foregoing,Customer may terminate this Work Order at any time subject to thirty(30) days advance written notice to CSC subject to the payment of all fees incurred pursuant to this Work Order through the date of termination. 4. CSC reserves the right to immediately increase the access annual fee if Customer increases the number of workstations and/or licenses additional software. 5. CSC shall have the option to immediately terminate this Work Order if Customer's access to use CSC System(s) is terminated. 6. All other terms and conditions of the "Agreement" as previously amended by the parties, remain unchanged and shall be in full force and effect. Note 1: Authorized Location: 2930 Wetmore Ave,Everett,WA 98201. Note 2: CUSTOMER acknowledges that the above access fee reflects only software accessed through April 27, 2020.
