Blue Marble Environmental LLC 6/3/2020 Amendment 1

AMENDMENT NO. 1 TO SERVICES AGREEMENT This Amendment No. 1 is dated for reference purposes June 3, 2020. It is by and between the City of Everett ("City"), Community Foundation of Snohomish County ("Associate Agency"), and Blue Marble Environmental, LLC ("Service Provider"). RECITALS A. The City, Associate Agency and Service Provider are parties to a Services Agreement dated as of April 1, 2020(the "Agreement"). B. The City, Associate Agency and Service Provider desire to amend the Agreement. AGREEMENT The City, Associate Agency, and Service Provider agree as follows: 1. Total compensation under the Agreement is increased by $8,000. Accordingly, Section 4.D of the Agreement is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of twenty thousand dollars ($20,000.). 2. The Agreement is extended until August 31, 2020. Accordingly, Section 3 of the Agreement is modified to read as follows: This Agreement shall commence as of the date of mutual execution of this Agreement and shall be completed by August 31, 2020. 3. Regardless of the date(s) on which this Amendment is signed by the parties, the parties agree that the Agreement has been continuously in effect since April 1, 2020. 4. At the sole discretion of the City, the City may consent to the Service Provider's signature on this Amendment being by email, fax, pdf or other electronic means, in which case such Service Provider signature will be deemed an original signature for all purposes. The City will be deemed to have given such consent effective upon execution of this Amendment by the Mayor of the City. 5. All provisions in the Agreement shall remain in effect except as expressly modified by this Amendment.
