• <br /> February 12,2015 <br /> Page 3 <br /> issues regarding communications with our non-attorney professionals,please contact one <br /> of our attorneys. <br /> Because of our firm's fairly wide-ranging representation of other ambulance, <br /> EMS,public safety and medical transportation providers,as well as billing companies, <br /> software companies and other companies which serve the nation's EMS industry,and the <br /> finite number of providers and other companies in the EMS and public safety industry, it <br /> is possible that we may represent other past,present or future clients that provide similar <br /> services in your area,as well as other individuals or organizations with which Client <br /> might have a past,present or future business relationship. By signing this Engagement <br /> Letter,you agree that we may assist or represent these other clients without objection,so <br /> long as our representation of Client and our firm's other clients would not pose a direct <br /> conflict of interest for our firm. <br /> This mutual understanding is, of course,premised on our adherence to our <br /> professional obligation not to disclose any confidential information or to use it for <br /> another party's benefit. Provided we act in this manner,you agree not to assert that our <br /> possession of such information is a basis for disqualifying the firm from representing <br /> another client. <br /> How We Treat Protected Health Information(PHI)You Share With Us <br /> The Privacy Rule under the Health Insurance Portability and Accountability Act <br /> of 1996(Public Law 104-191; known as"HIPAA")requires that"covered entities"enter <br /> into "business associate agreements"with entities that perform services on their behalf <br /> involving protected health information("PHI"). These entities are called"business <br /> associates." HIPAA also requires that business associates enter into business associate <br /> agreements with entities that perform services on their behalf involving PHI. Therefore, <br /> to the extent you are a covered entity or a business associate of a covered entity,and to <br /> the extent we act as a"business associate"on your behalf,we will carry out our <br /> responsibilities in compliance with the HIPAA Regulations,and with the applicable <br /> provisions of the HITECH Act,to protect the privacy and security of any personally- <br /> identifiable PHI that we collect,process or learn of as a result of providing services on <br /> your behalf. <br /> As such,we agree that we will: (1)not use or further disclose PHI except as <br /> permitted or required by the terms of our engagement or as required by law; (2)use <br /> appropriate safeguards and comply,where applicable,with the HIPAA Security Rule <br /> with respect to electronic PHI, to prevent use or disclosure of PHI except as permitted by <br /> the terms of our engagement; (3)mitigate,to the extent practicable, any harmful effect <br /> that is known to us of a use or disclosure of PHI by us in violation of this engagement; <br /> (4) report to you any use or disclosure of PHI not provided for by this engagement letter <br /> of which we become aware,including any security incident(as defined in the HIPAA <br /> Security Rule), and notify you of any breach of unsecured PHI without unreasonable <br /> 5 <br />
