9 <br /> F. WHEREAS, the City is interested in ensuring the physical and financial well- <br /> being of the Property and has an interest in facilitating the modification of the Senior Loan <br /> pursuant to the Modification Documents. <br /> G. WHEREAS, it is a condition precedent to Borrower's obtaining the modification <br /> of the Senior Loan under the Modification Documents that the parties hereto confirm that the <br /> Senior Mortgage, as modified, shall be and remain at all times a lien or charge upon the Property <br /> prior and superior to the lien or charge of the City Mortgage and that the Senior Loan, as <br /> modified,be prior and superior to the City Loan Documents. <br /> NOW, THEREFORE, in order to induce Senior Lender to enter into the Modification <br /> Documents and agree to the modified terms of the Senior Loan as therein provided, the parties <br /> hereto agree to amend and supplement the Addendum attached to the City Mortgage, and the <br /> Addendum attached to the City Covenant, as follows: <br /> 1. It is acknowledged that Walker & Dunlop, LLC, a Delaware limited liability <br /> company, is now the holder of the Senior Note referenced in the Addendum, and thereby is the <br /> current Senior Mortgagee as referenced in the Addendum. <br /> 2. The description of"Senior Note" in the Addendum is hereby amended to read: <br /> "that certain Deed of Trust Note dated October 31, 2006 from Borrower in favor of Senior <br /> Mortgagee in the principal amount of$1,589,500.00, as modified by the Modification of Deed of <br /> Trust Note between Borrower and Senior Mortgagee and approved by HUD, dated as- of <br /> 1, 2015, and as such Deed of Trust Note may be subsequently modified or amended <br /> from time to time." <br /> 3. The description of"Senior Mortgage" in the Addendum is hereby amended to <br /> read: "that certain Deed of Trust dated October 31, 2006, recorded under Snohomish County <br /> recording number 200610310370, from Borrower in favor of Senior Mortgagee, granting a <br /> mortgage on the Project, as modified by the Modification Agreement between Borrower, Senior <br /> Mortgagee, and HUD, dated as of 1, 2015, and as such Deed of Trust may be <br /> subsequently modified or amended from time to time." <br /> 4. The description of"Regulatory Agreement" in the Addendum is hereby amended <br /> to read: "that certain Regulatory Agreement dated October 31, 2006, recorded under Snohomish <br /> County recording number 200610310371, by and between Borrower and HUD, as modified by <br /> the Modification Agreement between Borrower, Senior Mortgagee, and HUD, dated as of <br /> 1, 2015, and as such Regulatory Agreement may be subsequently modified or <br /> amended from time to time." <br /> 5.
