efforts to acquire the Property but if the owner of is not a willing seller, the City shall <br />not utilize the power of eminent domain to acquire the Property. <br />5.2 Immediately following acquisition of the Property, execute and record <br />an instrument conveying a Conservation Easement for the Property to the County in <br />substantially the form attached hereto as Exhibit B (the "Conservation Easement"). <br />5.3 Submit an annual report to the County on February 1 of each subsequent <br />year detailing compliance with all on -going requirements of this Agreement. <br />5.4 Forward a copy of the recorded deed conveying the Property and a copy <br />of the executed Conservation Easement for the Property to the County as soon as the <br />same are returned from the Snohomish County Auditor. <br />5.5 Provide an identifying sign, the size and design of which shall be approved <br />by the Snohomish County Department of Parks and Recreation, at the entrance to the <br />Property which shall be in plain sight in perpetuity, listing the County as a participant in <br />the acquisition of the Property through the Snohomish County Conservation Futures <br />Program. <br />5.6 Fund any improvements that are made to the Property from revenue <br />sources other than Conservation Futures Program Funds and limit any such <br />improvements to those that meetthe requirements and intent of RCW 84.34.200 et. seq. <br />and the Conservation Easement. <br />5.7 Submit to the County along -term maintenance plan for the Property and <br />any improvements within three (3) months of the completed Property acquisition. <br />5.8 Pay to the County, upon sale of any of the City's interest in the Property, <br />or any portion thereof, a pro rata share of any consideration received, less the costs of <br />improvements funded by the City. The pro rata share will be equal to the percentage of <br />the cost of acquisition funded by the County pursuant to this Agreement. <br />5.9 Pay on a current basis all taxes or assessments levied on Property -related <br />activities and the Property; PROVIDED, HOWEVER, that nothing contained herein will <br />modify the City's right to contest any such tax, and the City will not be deemed to be in <br />default as long as it is, in good faith, contesting the validity or amount of any such taxes. <br />5.10 Obtain and maintain, at its own costs and expense, all necessary permits, <br />licenses and approvals related to the purchase, ownership, and on -going maintenance <br />and management of the Property. <br />6. Payment from the County. The County shall provide financial assistance to <br />the City in the amount of up to $200,000.00 from the Conservation Futures Fund for the <br />Interlocal Cooperation Agreement between Snohomish County and City of Everett <br />Concerning Acquisition of Property with Conservation Futures Funds Page 3 of 9 <br />
