Public Safety Testing Inc. 8/28/2020 Amendment 1

AMENDMENT NO. 1 SUBSCRIBER AGREEMENT BETWEEN THE CITY OF EVERETT AND PUBLIC SAFETY TESTING INC. This Amendment No. 1 is dated for reference purposes July 31, 2020. It is by and between the City of Everett, a municipal corporation under the laws of the State of Washington("Subscriber") and Public Safety Testing Inc. ("Contractor"). RECITALS A. The City and Service Provider are parties to the Subscriber Agreement dated as of August 1, 2017 (the "Agreement"). B. The City and the Service Provider desire to amend the Agreement for the purpose of extending the Agreement. AGREEMENT The Subscriber and Contractor agree as follows: 1. The Agreement is modified so that it terminates on July 31, 2023. The item "TERM & PROFESSIONAL FEES" and "TERMINATION" on page one of the Agreement are modified to read as follows: TERM & PROFESSIONAL FEES Six-year agreement at the following: • $2,500 Year 1 (8/1/2017 - 7/31/2018) • $4,000 Year 2 (8/1/2018 - 7/31/2019) • $5,000 Year 3 (8/1/2019 - 7/31/2020) • $5,000 Year 4 (8/1/2020 - 7/31/2021) • $5,000 Year 5 (8/1/2021 - 7/31/2022) • $5,000 Year 6 (8/1/2022 - 7/31/2023) TERMINATION This agreement terminates July 31, 2023 2. Regardless of the date(s) on which this Amendment is signed by the parties, the parties agree that the Agreement has been continuously in effect since August 1, 2017. 3. At the sole discretion of the City, the City may consent to the Service Provider's signature on this Amendment being by email, fax, pdf or other electronic means, in which case such Service Provider signature will be deemed an original signature for all purposes. The City will be deemed to have given such consent effective upon execution of this Amendment by the Mayor of the City. 4. All provisions in the Agreement shall remain in effect except as expressly modified by this Amendment.
