RESOLUTION-VIACOM ::::luInC=c=naligltw:7'ded by C""il'an"r"'w"adApt WHEREAS,Everett Cableviaion,Inc.,a wholly-owned subsidiary of Viacom International Inc. Miacom.), is franchised to provide cable television service in the City of Everett,and WHEREAS,an investor group led by Viacom's aenior management is engaged in a trAWRICCiOn involving a merger between Viacom and a newly created corporation,and WHEREAS, Section 39 of franchise Ordinance 1138-85 provides that the franchise may not be sold or transferred unless approval is given by the City Council,and WHEREAS, a new wholly-owned aubsidiary of Viacom, Viacom Cablevision of Pacific Northwest Inc., has agreed to assume and be bound by all applicable cable teleVision franchise terms and conditions ae provided in City of Everett Ordinances 1138-85 and 1140-05, NOW,THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL FOR THE CITY OP EVERIPPT that approval is hereby given to permit the transfer of control of Viacom to the investor group led by ViecOM'e Management. BE IT FURTHER RESOLVED that approval is hereby granted for the assignment of all applicable cable television franchise obligations as provided in Ordinances 113E-85 and 1140-85 to Viacom Cablevision of Pacific Northwest Inc.
