(k) Records. Grantee shall maintain and make available to the Grantor and HUD all records reasonably required to demonstrate compliance with all of the requirements of this Agreement, for at least four (4) years after disbursement of the Grant. (I) Disclosures. Grantee represents, warrants and agrees that it has provided to the Grantor any and all disclosures required by the HUD Reform Act, 42 U.S.C. Section 3545, and regulations thereunder, 24 CFR Part 4; that it will provide timely updated disclosures to the extent required by such act and regulations; and that all such disclosures are and shall be complete and accurate. (m) Prior Actions. Grantee represents and warrants that in all actions related to the Grant to date Grantee and each of its affiliates involved, each has complied with all requirements referred to in this Section. (n) Indemnity. Grantee shall indemnify and hold harmless the Grantor from any loss, damage, expense, claim or demand resulting from Grantee's failure to comply with any federal requirement to be complied with pursuant to this Agreement or failure to maintain adequate records to demonstrate such compliance. This provision shall survive expiration of this Agreement. 10 of 10
