im <br /> E V E R E T T RIGHT-OF-ENTRY AGREEMENT <br /> WASHINGTON <br /> REAL ESTATE MANAGER PROJECT: Tree Trimming and Removal <br /> 3200 CEDAR STREET LOCATION: 1127 Olympic Blvd. Everett, WA 98203 <br /> EVERETT, WA 98201 <br /> frii— <br /> This agreement made this v day of NOV, , 2020, by and between the City of <br /> Everett, (hereinafter referred to as "Grantor" or "City") does hereby grant permission to Susan <br /> E. Allen, her agents, representatives, and/or contractors (hereinafter referred to as "Grantee"), <br /> to enter upon certain lands owned by City for the purpose of tree trimming and removal. The <br /> City-owned lands to which this right-of-entry agreement applies is commonly known as Howarth <br /> Park located at 1127 Olympic Blvd. Everett, WA 98203, and in particular the area lying northeast <br /> of the intersection of Seahurst Avenue and Madrona Avenue, as shown on Exhibit A attached <br /> hereto. <br /> The City and Grantee by granting and accepting this right-of-entry agreement respectively, <br /> mutually covenant and agree as follows: <br /> 1. Grantee may only use the City lands for the purpose of trimming and removal of <br /> designated tree(s) as pre-authorized in the field by City Parks Department Staff (Contact: Dan <br /> Staple, Ph: 425-257-8377, Email: DStaple@everettwa.gov). <br /> 2. Grantee will make every reasonable effort to minimize disruption and inconvenience <br /> to City lands and shall coordinate with on-site city staff as needed. <br /> 3. This right-of-entry agreement shall automatically terminate upon the completion of <br /> the tree trimming and removal or December 15, 2020, whichever comes first. <br /> 4. Except as otherwise provided in this paragraph, Grantee hereby agrees to defend and <br /> indemnify the City from any and all claims arising out of, in connection with, or incident to any <br /> acts, errors, omissions, or conduct by Grantee (its agents, representatives and/or contractors) <br /> relating to this Agreement. Grantee is obligated to defend and indemnify the City pursuant to <br /> this paragraph whether a claim is asserted directly against the City, or whether it is asserted <br /> indirectly against the City, e.g., a claim is asserted against someone else who then seeks <br /> Right of Entry Agreement Page 1 <br />
