DocuSign Envelope ID:FCF6800B-OAF1-462A-9F3B-0855DE2AFB01 <br /> 20 <br /> 15.4.1 Level One.Sound Transit's Designated Representative and the City's Designated <br /> Representative will meet to discuss and attempt to resolve the dispute in a timely <br /> manner. If they cannot resolve the dispute within fourteen (14)days, either Party may <br /> refer the dispute to Level Two below. <br /> 15.4.2 Level Two.Sound Transit's PEPD Deputy Executive Director for Capital Project <br /> Development,or designee,and the City's Transportation Services Director,or their <br /> designees,will meet to discuss and attempt to resolve the dispute. If they cannot <br /> resolve the dispute within fourteen (14) days,or a later date upon which they agree, <br /> then either Party may seek other legal remedies. <br /> 15.4.3 At all times prior to resolving a dispute,the Parties must continue to perform <br /> undisputed obligations and make undisputed required payments under this Agreement <br /> in the same manner and under the same terms as existed prior to the dispute. <br /> Notwithstanding anything in this Agreement to the contrary, neither Party has an <br /> obligation to agree to participate in alternative dispute resolution processes such as <br /> arbitration or mediation.Such agreement may be withheld for any reason or no reason. <br /> 16 Audits.The Parties will each maintain accounts and records, including contract and financial records <br /> that sufficiently and properly reflect all direct and indirect costs of any nature expended for work <br /> performed under this Agreement so as to ensure proper accounting for all monies paid to The City <br /> by Sound Transit. These records must be maintained for a period of six(6)years after termination <br /> or expiration of this Agreement unless permission to destroy the records is granted by the Office of <br /> the Archivist in accordance with chapter 40.14 RCW, and agreed to by the City and Sound Transit. <br /> 17 Duration.This Agreement shall take effect upon the last date of signature by the Parties as set forth <br /> below.This Agreement shall remain in effect until the Option End Date, unless extended by mutual <br /> agreement of the Parties in accordance with Section 22 below,superseded by a future agreement, <br /> or suspended or terminated in accordance with Section 12 above. <br /> 18 Warranties. <br /> 18.1 By execution of this Agreement,the City warrants: <br /> 18.1.1 That the City has the full right and authority to enter into and perform this Agreement, <br /> and that by entering into or performing this Agreement the City is not in violation of any <br /> law, regulation,or agreement; and <br /> 18.1.2 That the execution, delivery and performance of this Agreement by the City has been <br /> duly authorized by all requisite corporate action,that the signatories for the City hereto <br /> are authorized to sign this Agreement. <br /> 18.2 By execution of this Agreement,Sound Transit warrants: <br /> 18.2.1 That Sound Transit has the full right and authority to enter into and perform this <br /> Agreement, and that by entering into or performing this Agreement Sound Transit is not <br /> in violation of any law, regulation or agreement; and <br /> 1 <br /> GA 0255-19 <br />
