I; <br /> i <br /> j <br /> III.CONDITIONS PRECEDENT TO AND POST GRANT DISBURSEMENT <br /> i I <br /> The Grantor's obl gation to perform its duties under this Agreement,including without limitation causingidisbu sement of <br /> any funds,shall b subject to thir full and complete satisfaction of the following conditions precedent: <br /> i j <br /> A. Grantee's Boiks,Accounts and Records <br /> Prior to dish rsement of Grant funds and upon request by the Grantor, Grantee will permit the Gran or a • its <br /> representati es at any reasonable time to examine Grantee's books,accounts,and records and to ma e cop es and <br /> memoranda f Grantee's books,accounts and records in order to evaluate Grantee's compliance with this i:reement. <br /> Documents hall be retained by the Business for no less than six(6)years. <br /> B. Grantee's Submission of Invoices and Documentation <br /> Grantee will ubmit invoices and documentation required by the Grantor to support Grantee's request fi r <br /> disbursement. <br /> C. Payment and ocumentatiorri of Eligible Expenses <br /> It is expressly agreed and understood that the total amount to be paid by the City under this Agreement s II n•i exceed <br /> Three Thousaird Dollars($3,0 J0.00).The Grantee shall be paid in full upon execution of this Grant Agree ent, r rovided, <br /> however,that the Grantee shall provide proof of payment and supporting documentation of eligible ex nsesi invoices for <br /> items detaile4 in the aforementioned approved scope of work on Exhibit B,"Expense Reporting Form." <br /> D. Performance Reporting 1 <br /> Expense Reparting Forms ar0 due until the grant amount has been exhausted or until the end of the gra t er'ormance <br /> p , <br /> period.Supporting documentation shall include,but not be limited to images of canceled checks,bank s ater •nts,copies <br /> of payroll,receipts for rent o inventory.The Grantee shall return any unused grant funds to the City no la er th:n 30 days <br /> following the end of the p►rfcirmance period.The Grantee agrees to track outcome performance measure as re uired by the <br /> City. The Grantee will report the outcomes to the City on the following schedule: i <br /> Performance Period Report Due 1 <br /> August 1,2020 to December,2020 January 15,2021 , <br /> January 1,2021 t►July 31,2021 August 15,2021 <br /> Reporting forms must be in the format acceptable to the City of Everett.Exhibit B shall be used for all reporting r;:quirements <br /> under this agrgement. ; ' <br /> IV. MATERIALLY FALSE OR MISLEA DING INFORMATION[3N ,� <br /> The Grantor reselrves the right• <br /> ,o seek any remedies which Grantor may have by law, including the return of ny Grant <br /> funds disbursed,if any representation,warranty or disclosure made to Grantor byGrantee,or <br /> e, contained in any <br /> information submitted by Grante to Grantor or to any government agency in connection with the Grant prov s to be <br /> materially false o'r misleading asiof the date when made or reaffirmed,whether or not such representation or isciosure <br /> appears in this Agreement. <br /> V. MISCELLANEOUS <br /> 1 <br /> A. Insurance&Boding <br /> Public Liability nd Property Damage: The Grantee shall maintain during the life of this Contractpublic liabil an' property <br /> tYp p tY <br /> damage insurance covering the Grantee's services hereunder in the sum of not less than one million dollars $1,00 ,000} <br /> combined singl limits bodily injury/property damage. Insurance shall cover work done by the Grantee or s boon ractors and <br /> shall protect,ai additional insured,the City from wits or claims for damages arising from operations under t is Ag eement or <br /> actions of the rantee,subcontractors,and employees either direct or indirect unless waived by the City's C; mat nity <br /> Development irector or designee. Grantee shall provide the City with a certificate of insurance in a form a cepta le to the <br /> City Attorney and,by endorsement,naming the City,its officers,employees and agents as additional insure prior o <br /> performing any{services pursuant to this agreement.
