I; i j III.CONDITIONS PRECEDENT TO AND POST GRANT DISBURSEMENT i I The Grantor's obl gation to perform its duties under this Agreement,including without limitation causingidisbu sement of any funds,shall b subject to thir full and complete satisfaction of the following conditions precedent: i j A. Documents hall be retained by the Business for no less than six(6)years. B. Grantee's Submission of Invoices and Documentation Grantee will ubmit invoices and documentation required by the Grantor to support Grantee's request fi r disbursement. C. Payment and ocumentatiorri of Eligible Expenses It is expressly agreed and understood that the total amount to be paid by the City under this Agreement s II n•i exceed Three Thousaird Dollars($3,0 J0.00).The Grantee shall be paid in full upon execution of this Grant Agree ent, r rovided, however,that the Grantee shall provide proof of payment and supporting documentation of eligible ex nsesi invoices for items detaile4 in the aforementioned approved scope of work on Exhibit B,"Expense Reporting Form." D. The Grantee will report the outcomes to the City on the following schedule: i Performance Period Report Due 1 August 1,2020 to December,2020 January 15,2021 , January 1,2021 t►July 31,2021 August 15,2021 Reporting forms must be in the format acceptable to the City of Everett.Exhibit B shall be used for all reporting r;:quirements under this agrgement. ; ' IV. V. MISCELLANEOUS 1 A. Insurance&Boding Public Liability nd Property Damage: The Grantee shall maintain during the life of this Contractpublic liabil an' property tYp p tY damage insurance covering the Grantee's services hereunder in the sum of not less than one million dollars $1,00 ,000} combined singl limits bodily injury/property damage. Insurance shall cover work done by the Grantee or s boon ractors and shall protect,ai additional insured,the City from wits or claims for damages arising from operations under t is Ag eement or actions of the rantee,subcontractors,and employees either direct or indirect unless waived by the City's C; mat nity Development irector or designee. Grantee shall provide the City with a certificate of insurance in a form a cepta le to the City Attorney and,by endorsement,naming the City,its officers,employees and agents as additional insure prior o performing any{services pursuant to this agreement.
