The City has analyzed evidence provided by the Business that there is no duplication of benefits from other <br /> sources of federal funds, such as SBA Paycheck Protection. <br /> NOW. THEREFORE, in consideration of the foregoing Recitals and the covenants, conditions, representations and <br /> warranties contained herein, the parties hereto agree as follows: <br /> THE GRANT <br /> A. Eligibility <br /> The Grantee shall comply with all applicable taws, ordinances, codes, regulations. and policies of local, <br /> state, and federal governments, as now or hereafter amended All funds provided under this Agreement must <br /> be used for to reimburse the costs of business interruption caused by required closures. Grantee must ensure <br /> the funds are used specifically for COVID related impacts. <br /> B. The Grant <br /> In reliance upon Grantee's representations and warranties, and subject to the terms and conditions <br /> contained in this Agreement, the Grantor hereby agrees to cause funds to be advanced to GI antee in a <br /> maximum aggregate pi Inc ipat amount equal to Three Thousand Do(tars $3,000) i"Grant"), solely for the <br /> purposes set forth in Section C below. Grantee shall have the right to receive Grant funds only pursuant to <br /> the terms and conditions of this Agreement. <br /> C. Purpose of Grant <br /> The Grantee shall use the funds granted hereunder solely for working capital of the Grantee to reimburse the <br /> costs of business interruption caused by required coronavirus closures, pursuant to the Budget set forth in <br /> Exhibit A, "Grant Budget." No funds shalt be used for the purchase/installation of equipment, construction <br /> of real estate, alteration of existing buildings, or other activity that may impact the natural environment or <br /> historic buildings. <br /> D. Grant Doeurnentation <br /> The Grant shalt be evidenced by this Agreement,completed application form, and other documentation required <br /> by the Grantor. <br /> IL REPRESENTATIONS, WARRANTIES AND COVENANTS <br /> In order to induce the Grantor to make the Grant, Grantee represents, warrants and covenants as set forth below <br /> in this Article II as of the date hereof and during the term of this Agreement. <br /> A. Organization pf Grantee <br /> Grantee is duly organized and validly existing pursuant to the laws of the State of Washington and is qualified <br /> to do business in and under the laws of the State of Washington. Grantee has the full power and authority to <br /> enter into this Agreement, to receive money as contemplated herein and to execute and perform the <br /> provisions of this Agreement. The execution,delivery and performance of this Agreement has been duly <br /> authorized by all necessary company action,and no other action of Grantee or any other party is required for <br /> the execution, delivery and performance of this Agreement. This Agreement constitutes valid and binding <br /> obligations of Grantee. <br /> B. Compliance with Laws <br /> Grantee will conduct its business affairs in a reasonable and prudent manner and in compliance with all <br /> applicable laws, ordinances, rules and regulations and executive orders of federal,state,county or municipal <br /> governments or agencies now in force or which may be enactedhereafter. <br /> C. Prohibition Against Receiving Fedetai f with <br /> Neither Grantee nor Grantee's ownerisi are prohibited from receiving federal funds. <br /> D. Accuracy of Information <br /> AR of the information provided by Grantee in support of its request for Grant funds is complete and accurate <br /> and contains no materially false or misleading information. <br /> III. CONDITIONS PRECEDENT TO AND POST GRANT DISBURSEMENT <br /> The Grantor's obligation to perform its duties under this Agreement, including without limitation causing <br /> 2 <br />
