XXII. Venue Stipulation <br /> This Agreement has been and shall be construed as having been entered into <br /> and delivered within the State of Washington, and it is mutually understood and <br /> agreed by each party hereto that this Contract shall be governed by laws of the <br /> State of Washington, both as to interpretation and performance. <br /> Any action at law, suit in equity, or judicial proceeding for the enforcement of this <br /> Agreement or any provisions thereof shall be instituted and maintained only in <br /> any of the courts of competent jurisdiction at Everett in Snohomish County, <br /> Washington. <br /> XXIII. Severability <br /> It is understood and agreed by the parties hereto that if any part, term, or <br /> provision of this Agreement is held by the courts to be illegal,the validity of the <br /> remaining provisions shall not be affected;and the rights and obligations of the <br /> parties shall be construed and enforced as if the Agreement did not contain the <br /> particular provision held to be invalid. <br /> If it should appear that any provision hereof is in conflictwith any statutory <br /> provision of the United States or the State of Washington,said provision which <br /> may conflict,therewith,and shall be deemed modified to conform to such <br /> statutory provision. <br /> XXIV. Open Public Board Meetings <br /> All Board meetings of the Subrecipientin which a quorum of the board is <br /> present shall be open and all interested persons shall be permitted to attend. <br /> This does not include parts of meetings which deal with issues concerning <br /> matters including personnel, legal and property. Board meetings will be held at <br /> regularly scheduled times as determined by the Board. <br /> XXV. Board Membership <br /> The following information aboutthe organization's Board of Directors/Trustees <br /> will be made available in a timely man nerto those who request such <br /> information: (1) Name of Board Members; (2) Terms of appointment;and (3) the <br /> procedure for selection of Board Membership. Every effort will be made by the <br /> contracting agency to have local representation on their board. <br /> XXVI. Minimum Length of Time for Intended Use <br /> In order to meet the Department of Housing and Urban Development National <br /> Objections, property purchased or improved with CDBG funds must remain in <br /> the intended use for at least five years. <br />
