7. Provider: Outside Party will be the Provider. <br /> 8. Recipient: AquaVitas, LLC Project Manager, Adam Gushgari, P.E., Ph.D., will be the <br /> Recipient. <br /> Terms and Conditions: <br /> Therefore, in reliance on the commitments and obligations set forth herein, the parties <br /> agree as follows: <br /> 1. AquaVitas, LLC will provide a data analysis of the sample to the Outside Party if <br /> requested by the Outside Party. <br /> 2. AquaVitas, LLC or its academic affiliate "The Biodesign Center for Environmental <br /> Health Engineering at Arizona State University" will be free to use the material for the <br /> Project Scope, and for research publication purposes. After completing the Scope of <br /> Research AquaVitas, LLC may dispose of the Material in any manner; use the Material <br /> for any purpose; and/or transfer the material to any party. <br /> 3. AquaVitas, LLC will hold Outside Party and its employees harmless from any loss, <br /> claim, damage or liability of any kind, which may arise from or in connection with this <br /> Agreement or AquaVitas, LLC's use, handling or storage of the Material. In no case will <br /> Outside Party be liable for any use by AquaVitas, LLC, it's academic affiliates, or by <br /> individuals working under AquaVitas, LLC's direct supervision, of the Material or any <br /> loss, claim, damage or liability of any kind, which may arise from or in connection with <br /> this Agreement or AquaVitas, LLC's use, handling or storage of the Material by <br /> AquaVitas, LLC, AquaVitas, LLC's academic affiliates, or individuals working under <br /> AquaVitas, LLC's or Academic Affiliate's direction. <br /> 4. This Agreement constitutes the entire understanding between the parties relating to <br /> the subject matter hereof, and no amendment or modification to this Agreement shall be <br /> valid or binding upon the parties unless made in writing and signed by each party. This <br /> Agreement may be executed in counterparts, each of which shall be deemed an original. <br /> Facsimile transmitted and imaged copy signatures will be fully binding and effective for <br /> all purposes. This agreement shall remain in effect until the earliest of the material is <br /> fully exhausted or fully disposed of. <br /> 2 <br />
