LICENSE TO USE CITY PROPERTY THIS LICENSE AGREEMENT(the"License"), between the City of Everett as Grantor (the"City)and FORMA Construction,PO Box 11489,Olympia,WA 98508 as the Grantee ("FORMA"), relates to the city owned parking lot located at the northeast corner of 26th Street and W. Marine View Drive, Everett, WA (the"Property"). RECITALS A. FORMA desires to utilize the property for staging of construction materials for the City Project, JC-20233 ("Project"). B. The City is willing to grant FORMA authority to use the City's property upon certain terms and conditions. AGREEMENT In consideration of mutual benefits and other good and valuable consideration, the receipt and sufficiency of which is hereby expressly acknowledged,the City licenses FORMA to use the Property upon the following terms and conditions: Section 1. LICENSED PROPERTY. The specific area of property owned by the City, and subject to this License, is legally described as LOTS 5 THRU 16, BLOCK 558, PLAT OF EVERETT DIV. G, as filed for record under Vol. 4, Page 41, records of Snohomish County, State of Washington. Section 2. TERM. This License shall be effective beginning at 6:00 A.M. March 19, 2021 and shall expire at midnight on April 9, 2021, unless terminated earlier per Section 7, below. Section 3. Intentionally Omitted. Section 4. AUTHORIZED USE. FORMA may only use the property for the purpose of staging of construction materials in conjunction with the Project. Section 5. INDEMNIFICATION. FORMA hereby agrees to defend, indemnify and hold the City harmless from any and all Claims for injury to people or damage to property arising out of or related to this License. This defense and indemnification obligation shall survive any termination, revocation or expiration of this Agreement. For the purpose of this Section 4, the following terms shall have their specified meaning. "City" means the page 1
