AMENDMENT TO COST SHARING <br /> MEMORANDUM OF UNDERSTANDING <br /> This Amendment to Memorandum of Understanding is entered into between Snohomish County <br /> Fire Protection District No. 4 ("District 4") and the City of Everett("Everett"). <br /> RECITALS <br /> 1. District 4 and Everett have formed a planning committee pursuant to RCW 52.26.030 to <br /> explore the possibility of forming a regional fire authority. <br /> 2. District 4 and Everett have already entered into a Memorandum of Understanding dated on or <br /> about February 22,2021 (the"MOU"),for the purpose of sharing costs for consulting services <br /> for the planning committee from Karen Reed Consulting, LLC. (Snohomish County Fire <br /> Protection District No. 15 was a party to the MOU,but has since withdrawn.) <br /> 3. The planning committee may desire that District 4 enter into additional agreements with legal, <br /> financial, and other consultants to assist the planning committee (the "Additional Consulting <br /> Services"). <br /> 4. The Parties wish to share in the costs associated with the Additional Consulting Services. <br /> AGREEMENT <br /> To carry out the purposes of this Amendment and in consideration of the benefits to be received <br /> by each party, it is agreed to supplement the MOU as follows for Additional Consulting Services: <br /> 1. Additional Consulting Services. If Everett's and District 4's representatives on the planning <br /> committee determine that Additional Consulting Services are necessary, then the planning <br /> committee will identify the service provider(s). District 4 will enter into contract(s) and/or <br /> make necessary arrangements with the service provider(s). District 4 shall be responsible for <br /> approving the scope and cost of the Additional Consulting Services prior to incurring any costs. <br /> The not to exceed total cost of all Additional Consulting Services shall be$5000.00. <br /> 2. Payment Obligations for Additional Consulting Services. Everett and District 4 agree that <br /> their cost shares and the invoicing and payment procedures will be the same for the Additional <br /> Consulting Services as for the Karen Reed Consulting Services. Costs for Additional <br /> Consulting Services incurred before the date of this Amendment will be treated the same as <br /> costs incurred after the date of this Amendment. <br /> 3. MOU in Effect. The MOU remains in full force and effect except as may be modified by this <br /> Amendment. <br /> 4. Multiple Counterparts. This Amendment may be executed in any number of counterparts, <br /> each of which shall constitute an original, and all of which will together constitute this one <br /> Amendment <br /> [Signature Pages on Following Page] <br /> 1 <br />
