AMENDMENT NO. 1 <br /> TO <br /> AGREEMENT FOR PURCHASE INSTALLATION AND TRAINING OF <br /> PARKING ENFORCEMENT SYSTEM <br /> This Amendment No. 1 is dated for reference purposes as April 30, 2021. It is by <br /> and between the City of Everett, a municipal corporation under the laws of the State of <br /> Washington("City") and Gtechna USA Corporation ("Vendor"). <br /> RECITALS <br /> A. The City and Vendor are parties to the"Agreement for Purchase Installation <br /> and Training of Parking Enforcement System" dated on or about August 22, 2018 (the <br /> "Agreement"). <br /> B. Under the Agreement, the City purchased from Vendor a Parking <br /> Enforcement System. The City and Vendor desire to amend the Agreement to provide for <br /> annual maintenance for the Parking Enforcement System. <br /> AGREEMENT <br /> The City and Service Provider agree as follows: <br /> 1. Agreement Section 4.2 is amended to read: "Total compensation, including all <br /> services and expenses, shall not exceed a maximum of total of (a) $180,000 <br /> (including tax and a 10%continency)plus (b) annual maintenance costs." <br /> 2. Vendor shall offer to the City the annual maintenance and support as described in <br /> Section 11 of the Agreement for as long as the City uses the Parking Enforcement <br /> System. The City will pay $22,835.92 for Year 2 annual maintenance, with a 3% <br /> increase for each annual maintenance year thereafter. For example,this means that <br /> Year 3 annual maintenance is $23,521, Year 4 annual maintenance is $24,226,63, <br /> and so on. <br /> 3. Vendor shall charge the City $2 per parking ticket and $1 per parking permit paid <br /> through the vendor's online payment portal. Parking tickets and parking permits <br /> that have no cost, or are paid through another method, will not incur the per ticket <br /> or per permit cost_ <br /> 4. At the sole discretion of the City, the City may consent to the Service Provider's <br /> signature on this Amendment being by email, fax, pdf or other electronic means, in <br /> which case such Service Provider signature will be deemed an original signature for <br /> all purposes. The City will be deemed to have given such consent effective upon <br /> execution of this Amendment by the Mayor of the City. <br /> 5. All provisions in the Agreement shall remain in effect except as expressly modified <br /> by this Amendment. <br />
