License to Use City Property Community Transit

DocuSign Envelope ID:C5A1041B-30CD-42D2-B9F2-796D621B08B1 LICENSE TO USE CITY PROPERTY THIS LICENSE AGREEMENT (the "License"), between the City of Everett, a municipal corporation, as Grantor (the "City) and Snohomish County Public Transportation Benefit Area aka Community Transit, a municipal corporation, as the Grantee ("Community Transit"), relates to the city owned parking lot located at the northeast corner of 26th Street and W. Marine View Drive, Everett, WA (the"Property"). RECITALS A. Community Transit desires to utilize the property for parking of Community Transit fleet vehicles. B. The City is willing to grant Community Transit authority to use the City's property upon certain terms and conditions. AGREEMENT In consideration of good and valuable consideration, the receipt and sufficiency of which is hereby expressly acknowledged, the City licenses Community Transit to use the Property upon the following terms and conditions: Section 1. LICENSED PROPERTY. The specific area of property owned by the City, and subject to this License, is legally described as LOTS 5 THRU 16, BLOCK 558, PLAT OF EVERETT DIV. G, as filed for record under Vol. 4, Page 41, records of Snohomish County, State of Washington. Section 2. TERM. This License shall be effective beginning at 6:00 A.M. June 1, 2021 and shall expire at midnight on May 31, 2022, unless terminated earlier per Section 7, below. Any tenancy after the initial term shall be on a month to month basis. Section 3. MONTHLY CONSIDERATION. Community Transit shall pay $3,220 per month, due on the first day of each month during the term of this License. Section 4. AUTHORIZED USE. Community Transit may only use the property for the purpose of parking of fleet vehicles. Section 5. INDEMNIFICATION. Community Transit hereby agrees to defend, indemnify and hold the City harmless from any and all Claims for injury to people or damage to property to the extent arising out of or relating to Community Transit's use of the Licensed Property. This defense and indemnification obligation shall survive any termination, revocation or expiration of this Agreement.
