License to Use City Property Community Transit

This License is personal to Community Transit and may not be transferred, assigned, conveyed,pledged, encumbered, or hypothecated. Section 10. COMPLIANCE WITH LAW. Community Transit agrees to comply with all applicable Federal, State, and Local laws and regulations and to acquire all permits required by law or regulation. Section 11. INSURANCE. Community Transit shall maintain commercial general liability insurance coverage during the term of this License with $1,000,000 combined single limits, which insurance shall be primary and non-contributing. Community Transit shall ensure the City is endorsed as an additional insured on the policy. Community Transit shall provide the City evidence of coverage and endorsement. Insurance coverage and limits of liability as specified herein are minimum coverage and limit of liability requirements only. They shall not be construed to limit the liability of Community Transit -or any insurer for any claim that is required to be covered hereunder. Moreover, the City shall be an additional insured, where additional insured status is required, for the full available limits of liability maintained by Community Transit,whether those limits are primary, excess, contingent or otherwise. Section 12. NON-INTERFERENCE WITH CITY USE. Community Transit use of the property shall not interfere in any way with any City use of the property, including utilities and travel. Section 13. REPAIR OF PROPERTY. Community Transit shall use care to avoid damaging or destroying City property by reason of its use pursuant to this License. Any damage caused by Community Transit to City or other property shall be promptly repaired or replaced by Community Transit to the satisfaction of the City, or in lieu of such repair or replacement, Community Transit shall pay, to the City or owner of the other property, money in an amount sufficient to compensate for the loss sustained by reason of damage to or destruction of the City's or other party's property. Section 14. RISK OF LOSS TO GRANTEE'S PROPERTY. Community Transit bears all risk of any and all damage and loss to personal property located on the property associated with this License and Community Transit's use of the Property. Section 15. NO WARRANTY. The City does not warrant its title or ownership of the Property. Section 16. NON-EXCLUSIVE. This License is not exclusive. The City is not prohibited from granting permission to others to occupy or use portions of the property where such uses are not inconsistent with this License. Section 17. RESERVATION OF RIGHTS. The City reserves all rights not expressly granted by this License. page 3
