Contract that an original signature is required. Contract documents include, but are not <br /> limited to, contracts, amendments, certifications, budget revision forms, invoices, and <br /> reports. <br /> L. SIGNATURE AUTHORIZATION FORMS <br /> Upon request from the City, the Agency shall submit a Signature Authorization Form <br /> annually. The Signature Authorization Form shall require original signatures and shall <br /> reflect the authorized signatory(ies) of the Agency for applications, contracts, <br /> amendments, and monthly expenditures reports and requests for reimbursement. The <br /> Signature Authorization Form shall also designate the email address for the authorized <br /> recipient(s) of contracts and amendments from the City. Changes to signature authority <br /> of the Agency shall require that an updated Signature Authorization Form be submitted <br /> to the City. <br /> LI. SURVIVABILITY <br /> The terms and conditions contained in this Agreement which by their sense and context <br /> are intended to survive the expiration or termination of the Agreement or a Contract shall <br /> survive. Surviving terms include, but are not limited to: Confidentiality, Disputes, <br /> Inspection, Maintenance of Records, Ownership of Material, Responsibility, Termination <br /> for Lack of Performance, Termination Procedure, and Treatment of Assets. <br /> LII. ENTIRE AGREEMENT <br /> These provisions represent the entire and integrated Basic Terms and Conditions of the <br /> parties and may not be modified or amended except as provided herein. <br /> LIII. ORDER OF PRECEDENCE <br /> In the event of an inconsistency between the terms of this Agreement and any Contract, <br /> the conflict shall be resolved by giving precedence to the Specific Terms and Conditions <br /> of the Contract. <br /> LIV. WAIVER <br /> Waiver of any breach or default on any occasion shall not be deemed to be a waiver of <br /> any subsequent breach or default. Any waiver shall not be construed to be a modification <br /> of the terms and conditions of this Agreement or any Contract into which it is incorporated <br /> unless amended as set forth in Section XLII, Changes and Modifications. <br /> LV.
