F. The City and the Tulalip Tribes are entering into this Agreement for the purpose of allocating <br /> responsibility for funding of the repair work to the delaminated mortar in Segment 1N, Segment <br /> 3,Segment 4 and Segment 5. In order to formalize this allocation,and without admitting fault <br /> or liability,the Parties now hereby wish to enter into the following agreement: <br /> Agreement <br /> 1. Mortar Scope of Work. <br /> a. The City will prepare and issue bid documents to solicit a contractor to perform <br /> construction services necessary to repair the mortar delamination defects existing in <br /> pipeline Segments owned by the City(i.e.,Segment 1N,a portion of Segment 3, <br /> Segment 4 and that portion of Segment 5 owned by Everett south of the meter on Smith <br /> Island) (the"Mortar Scope of Work"). <br /> b. The City will be responsible to procure a contractor for the Mortar Scope of Work, <br /> administer the work of the selected contractor and inspect the construction activity of <br /> the selected contractor. <br /> c. As between the Parties,the City will have authority and control over any design, <br /> product, and execution of work choices related to the Mortar Scope of Work. <br /> d. The Parties anticipate that the Mortar Scope of Work will be completed by end of 2023. <br /> The Parties will cooperate in good faith to discuss and resolve any operational and <br /> logistical issues associated with completion of the Mortar Scope of Work, including <br /> without limitation time periods for construction activity. <br /> e. Costs incurred related to the Mortar Scope of Work will be handled as follows: <br /> The Tulalip Tribes will pay the City$417,922 (i.e.,the 50%of the Reece <br /> Proposal)or 50%of the price obtained by the City through bid competition, <br /> whichever is lower. Payment shall be due 30 days after submission of an invoice <br /> following completion of the Mortar Scope of Work. In no event will the total <br /> contribution of the Tulalip Tribes for the Mortar Scope of Work exceed <br /> $417,922, regardless of the bid results obtained by the City. <br /> f. The City will be responsible for all costs to prepare and administer the contract for the <br /> Mortar Scope of Work and to perform whatever onsite inspection of the Mortar Scope <br /> of Work the City consider to be necessary or desirable. <br /> g. Both Parties will absorb,and not seek reimbursement from the other,all costs incurred <br /> in connection with Inspection Efforts,past, present or future. <br /> 2 <br /> Page 519 of 1140 <br />
