The insurance certificate shall <br /> indicate that the additional insured Party shall be notified not less than thirty(30)days prior to any <br /> cancellation or material change in coverage. <br /> D. Unless otherwise agreed, Licensor's insurance policies will be obtained and <br /> maintained with companies rated A-or better by Best's,and Licensee shall be expressly named as <br /> an additional insured on all of Licensor's insurance policies providing the required coverage, or <br /> any portion thereof, described in subsection A of this Section 23, and Licensor shall provide <br /> Licensee with an insurance certificate confirming compliance with this requirement for each policy <br /> providing such required coverage. The insurance certificate shall indicate that the additional <br /> insured Party shall be notified not less than thirty (30) days prior to any cancellation or material <br /> change in coverage. <br /> 24. ASSIGNMENT OR SUBLICENSE <br /> A. Except as set forth in subsection B of this Section 24,neither Party shall assign its <br /> rights hereunder or sublicense its license interest,in whole or in part. <br /> B. If any Affiliate of either Party succeeds (by ownership, or exercise of security <br /> interests or other rights with respect to collateral)to that portion of the business of the Party that <br /> is responsible for, or entitled to, any rights, obligations, duties, or other interests under this <br /> Agreement, such Affiliate shall automatically succeed to those rights, obligations, duties, and <br /> interests of such Party under this Agreement. In the event of any succession under this Section 24, <br /> the successor shall be deemed to have expressly assumed the responsibility and liability for those <br /> obligations,duties,and interests as to which it is succeeding. No such succession will relieve any <br /> predecessor Party of such obligations, duties, and interest. <br /> 25. COMPLIANCE WITH LAWS <br /> In the performance of the Work, the operation and maintenance of its Communications <br /> Facilities, and the performance of this Agreement, Licensee shall comply and shall ensure that all <br /> contractors hired by or acting on behalf of Licensee comply with all applicable: <br /> (a) Laws, ordinances, rules, regulations, orders, licenses,permits and other requirements, <br /> now or hereafter in effect, of any governmental authority; <br /> (b) Industry standards and codes; and <br /> (c) Licensor's standard practices, specifications, rules and regulations which will be <br /> provided by Licensor to Licensee on request. <br /> Licensee shall furnish such documents as may be reasonably required by Licensor to effect or <br /> evidence compliance. All laws, regulations and orders required to be incorporated in agreements <br /> of this character are hereby incorporated herein by this reference. <br /> 17 <br /> Fiber Optic Cable Master License Agreement <br />
