EXHIBIT C <br /> Fee Schedule <br /> This Fee Schedule is made a part of the Master License Agreement between Public Utility District <br /> No. 1 of Snohomish County (Licensor) and the City of Everett (Licensee) dated as of <br /> , 20 . Capitalized terms in this Fee Schedule have the same meaning <br /> as such terms in the Master License Agreement("MLA")unless otherwise indicated. <br /> 1. Annual Fee <br /> The annual Fee applicable to each individual fiber installation will be negotiated between the <br /> Licensor and the Licensee on an installation by installation basis based on the current and projected <br /> values of the following factors, as applicable at the time the applicable FLA is executed by the <br /> Licensor and the Licensee: location and other site specific factors; amount of space used, or <br /> rendered unusable by others;the aggregate number of individual fiber installations proposed to be <br /> licensed by the Licensee; and any other factors affecting the interests of the Licensor, in the sole • <br /> discretion of the Licensor. The Annual Fee with respect to each existing installation will be <br /> automatically increased by twenty percent (20%) of the previous year's Annual Fee on the fifth, <br /> tenth and fifteenth anniversary of the execution of the applicable FLA,unless otherwise provided <br /> in such FLA. <br /> 2.
