through its contractor and its subcontractors of rescheduled labor, material, equipment, and <br /> incidental costs. <br /> 6. LICENSEE ACCEPTANCE TESTING PROCEDURES <br /> A. Prior to accepting the Licensee Fibers with respect to a particular fiber installation, <br /> Licensee shall have the right to conduct its own test in accordance with the procedures specified <br /> in Exhibit B hereto (herein referenced to as "Licensee's Acceptance Testing") of the Licensee <br /> Fibers to verify that they are operating in accordance with the Specifications. Licensee shall <br /> provide Licensor with seven (7) days' notice prior to beginning Licensee's Acceptance Testing. <br /> Licensor shall have the right to have a person or persons present to observe Licensee's Acceptance <br /> Testing. <br /> B. Within fourteen (14) days of the conclusion of Licensee's Acceptance Testing, <br /> Licensee shall provide Licensor with a copy of the test results. If the test results are within the <br /> parameters of the Specifications, Licensee shall provide Licensor with a written notice accepting <br /> the Licensee Fibers. If Licensee's Acceptance Testing is not completed on or before the date set <br /> forth in the applicable FLA,Licensee shall be deemed to have accepted the Licensee Fibers. <br /> C. In the event the results of tests completed on or before the date set forth in the <br /> applicable FLA are not within the parameters of the Specifications,Licensee may notify Licensor <br /> in writing that the results are unacceptable with respect to some or all portions of the Licensee <br /> Fibers. Thereupon,Licensor shall expeditiously take such action as shall be necessary with respect <br /> to such portions of the Licensee Fibers within the said parameters of the Specifications. Provided <br /> that Licensee shall have completed the Licensee's Acceptance Testing on or before the date set <br /> forth in the applicable FLA,if Licensor shall not have completed corrective action and brought the <br /> operating standards of the affected portion of the Licensee Fibers within the parameters of the <br /> Specifications prior to the date set forth in the applicable FLA, Licensee shall have the right to <br /> immediately terminate this Agreement without incurring any liability therefor. <br /> D. Licensee's use of the Licensee Fibers shall constitute unconditional acceptance of <br /> the Licensee Fibers. <br /> 7. TERMS OF PAYMENT <br /> A. The Annual Fee and any additional charges relating to each fiber installation shall <br /> be as set forth in the applicable FLA, and shall be determined in accordance with the Fee Schedule <br /> attached as Exhibit C hereto. Such amount shall be payable annually, in advance, on the date set <br /> forth in the applicable FLA. <br /> B. With respect to any Fiber Installation which Licensee is or may be interested in <br /> licensing pursuant to this Agreement,Licensor shall provide, at the request of and at no charge to <br /> Licensee, general information pertaining to the availability, capacity and location of such Fiber <br /> Installation subject to change without notice. Any further request for preliminary information <br /> and/or submittal of a proposed FLA regarding such Fiber Installation shall be accompanied by a <br /> nonrefundable application in the amount set forth in Exhibit C, which shall cover the average <br /> 5 <br /> Fiber Optic Cable Master License Agreement <br />
