M. Severability <br />If any part of this Agreement is found to be in conflict with applicable laws, such part shall <br />be inoperative, null and void, insofar as it is in conflict with said laws, and the remainder of the <br />Agreement shall remain in full force and effect. <br />N. Venue/Governing Law <br />Venue for any lawsuit arising out of this Agreement shall exclusively be in the Superior Court <br />of Snohomish County, Washington. The laws of the State of Washington, without giving effect to <br />principles of conflict of laws, govern all matters arising out of or relating to this Agreement. <br />P. Modification of Agreement <br />This Agreement may be modified by a writing explicitly identified as an amendment or <br />modification of this Agreement that is signed by an authorized representative of VOA and the Mayor <br />of the City. <br />Q. Audits and Inspections <br />At any time during normal business hours and as often as City may deem reasonably <br />necessary, VOA shall make available to City, Washington State Auditor, or designee, all of its records <br />with respect to all matters covered by this Agreement, and VOA shall permit City to audit, examine <br />and make copies, excerpts or transcripts from such records, and to audit any or all contracts, <br />invoices, materials, payrolls, records of personnel, conditions of employment and other data relating <br />to all matters covered by this Agreement. <br />15 <br />
