E. No Joint Venture <br /> This Agreement does not create a joint venture or partnership between the parties of any <br /> kind. <br /> F. Compliance with Grant Terms and Conditions <br /> Upon notice thereof from the City,VOA shall comply with any and all conditions,terms and <br /> requirements of any federal,state or other grant that wholly or partially funds the Services or the <br /> Center. <br /> G. No Rights Created in Third Parties <br /> This Agreement does not confer or create any rights in any third parties and is not intended <br /> to benefit any third parties. <br /> H. Assignment-Transfer <br /> VOA shall not sublet or assign any of the work covered by this Agreement without the <br /> express written consent of City,which may be withheld in the City's sole discretion. <br /> City of Everett Business License <br /> VOA agrees to obtain and/or maintain a City of Everett business license. VOA also agrees <br /> that its performance of this Agreement shall be conclusively deemed to have been performed in <br /> Everett and shall pay all applicable local, state, and federal taxes thereon. <br /> J. State of Washington Requirements <br /> VOA agrees to register, obtain, and maintain any State of Washington business licenses, <br /> Department of Revenue account and/or unified business identifier as required by RCW 50.04.140 <br /> and 51.08.195. <br /> K. Waiver <br /> Any waiver by VOA or City or the breach of any provision of this Agreement by the other <br /> party will not operate or be construed as a waiver of any subsequent breach by either party or <br /> prevent either party from thereafter enforcing any such provision. <br /> L. Complete Agreement <br /> This Agreement contains the complete and integrated understanding and Agreement <br /> between the parties and supersedes any understanding, agreement or negotiation touching on the <br /> subject matter hereto,whether oral or written, not set forth herein. <br /> 14 <br />
