G-162 Employment <br /> The Purchaser warrants that it had not employed or retained any company or person, other <br /> than a bona fide employee working solely for the Purchaser,to solicit or secure this Contract <br /> and that it has not paid or agreed to pay any company or person, other than a bona fide <br /> employee working solely for the Purchaser, any fee,commission,percentage, brokerage fee, <br /> gifts, or any other consideration, contingent upon or resulting from the award or making of <br /> this Contract. For breach or violation of this warranty, the City shall have the right to <br /> terminate this Contract without liability or, in its discretion,to deduct from the Contract Price <br /> or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, <br /> gift, or contingent fee. <br /> G-170 Assignment and Delegation <br /> No rights or interest in this Contract or performance of Contract duties shall be assigned or <br /> delegated by Purchaser without prior written permission of the City. Any attempted <br /> assignment shall be void and ineffective for all purposes unless made in conformity with this <br /> paragraph. Approval or assignment by the City shall not include or in any way constitute <br /> release of security provided by the Purchaser. <br /> G-180 Modifications <br /> Waivers,modifications or amendments of the terms of this Contract must be in writing signed <br /> by Purchaser and the Mayor of the City. <br /> G-181 Waiver <br /> Any waiver by the Purchaser or the City or the breach of any provision of this Contract by <br /> the other party will not operate, or be construed, as a waiver of any subsequent breach by <br /> either party or prevent either party from thereafter enforcing any such provisions. <br /> G-182 Severability <br /> If any part of this Contract is found to be in conflict with applicable laws, such part shall be <br /> inoperative, null and void, insofar as it is in conflict with said laws and the remainder of the <br /> Contract shall remain in full force and effect. <br /> G-190 Contract Complete <br /> This Contract is the final expression of the Parties' agreement. There are no understandings, <br /> agreements or representations expressed or implied,which are not specified in this Contract. <br /> G-201 Notice <br /> a.
