BATTERY ENERGY STORAGE INTERCONNECTION AND LEASE AGREEMENT <br /> This Interconnection and Lease Agreement("Agreement") is entered into between the City of Everett <br /> ("Company")and BattGenie Inc.("BG")as of Oe21' ,20.L 1(the"Effective Date"),pertaining to the <br /> pilot evaluation project ("PROJECT') using repurposed King-County Metro hybrid-bus battery energy <br /> storage system ("BESS") at the COMPANY facility 3225 Cedar Street Everett, WA 98201 ("site"). <br /> COMPANY and BG may be referred to collectively as"Parties" and individually as a"Party". <br /> NOW THEREFORE, in consideration of the mutual covenants contained herein, and of other good and <br /> valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the Parties agree as <br /> follows: <br /> 1. LEASING COST <br /> BG will be leasing the BESS to COMPANY for the PROJECT period at no cost to COMPANY. <br /> 2. PROJECT DURATION <br /> The PROJECT will be considered ongoing for the term of this agreement unless it is deemed to <br /> be not valuable for COMPANY upon deliberation with BG. This can happen if batteries are <br /> deemed unsafe to operate at any point or their efficiency falls below 50%. <br /> 3. BG's RESPONSIBILITIES <br /> a. BG will monitor the batteries every minute for safe and efficient operation during the <br /> PROJECT when internet is available on site. BG will make monthly site visits in the event <br /> of internet unavailability. <br /> b. BG will communicate to COMPANY periodically the health of the BESS and will alert <br /> COMPANY of any known issues related to the BESS at the earliest. <br /> c. BG will be responsible for maintaining the battery and associated systems, including the <br /> inverter, disconnects, e-stops etc. for the duration of the PROJECT, AS AND WHEN <br /> NEEDED and at least once annually. <br /> d. BG will be responsible for recycling the lithium-ion batteries within the BESS within the <br /> reasonable timeframe upon completion of the agreement or the project,whichever happens <br /> first. <br /> e. BG will own exclusive rights to the data generated from the BESS BMS and inverter. BG <br /> will provide data summary to COMPANY on request. <br /> 1. <br />
