LEASE AMENDMENT NO. 1 <br /> EVERETT <br /> This Amendment No. 1 is dated for reference purposes October 18, 2021. It is by <br /> and between the City of Everett, a municipal corporation under the laws of the State of <br /> Washington("City"or"Lessor")and the Everett Gospel Mission("EGM"or"Lessee"). <br /> RECITALS <br /> A. The City and EGM are parties to Lease dated July 2, 2021, regarding the <br /> Everett Pallet Shelter Pilot Community Project(the"Lease"). <br /> B. The City and EGM desire to amend the Lease for the purpose of identifying <br /> the party responsible to pay any Washington State Leasehold Tax due to EGM's use of the <br /> Property pursuant to the Lease. <br /> AGREEMENT <br /> The City and EGM agree as follows: <br /> 1. The Lease is modified to revise Section 2 in its entirety to read as follows: <br /> Section 2. RENT. So long as the Property is used for the Project (as defined <br /> below), no rent is required for the Property. However, EGM shall be responsible <br /> to pay any Washington State Leasehold Tax that may result due to EGM's use <br /> of the Property pursuant to the Lease. <br /> 2. This Amendment may be signed in counterparts, each of which shall be deemed an <br /> original,and all of which,taken together,shall be deemed one and the same document. <br /> At the sole discretion of the City,the City may consent to the EGM's signature on this <br /> Amendment being by email, fax, pdf or other electronic means, in which case such <br /> EGM signature will be deemed an original signature for all purposes. The City will <br /> be deemed to have given such consent effective upon execution of this Amendment <br /> by the Mayor of the City. <br /> 3. All provisions in the Lease shall remain in effect except as expressly modified by <br /> this Amendment. <br />
