EXHIBIT C <br /> Terms and Conditions of Extension Term <br /> 1. Extension of Lease. Provided Tenant is not in default of any provision of the Lease at the <br /> time that Tenant exercises the right to extend the Lease or at the time the new term begins, <br /> Tenant shall have three (3) successive options to extend the term of the Lease for one (1) year <br /> each. The term of the Lease shall be extended on the same terms, conditions, and covenants as <br /> set forth in the Lease, except that (A) the amount of the Base Rent stated in the Lease shall be <br /> adjusted as set forth below; (B) there shall be no free or abated rent periods, tenant allowances <br /> or other concessions that may have been granted to Tenant at the beginning of the initial term <br /> hereof; and (C) after exercise of Tenant's second extension option, there shall be no further <br /> extension or renewal term options. <br /> 2. Notice. To extend the Lease,Tenant must deliver written notice to Landlord not less than <br /> ninety (90) days prior to the expiration of the then-current Lease term. Time is of the essence. <br /> 3. Base Rent. Base Rent for the extension terms will be as follows: <br /> Time Period Base Rent* <br /> January 1, 2024 to December 31, 2024 $1,225.45 <br /> January 1, 2025 to December 31, 2025 $1,262.21 <br /> January 1, 2026 to December 31, 2026. $1,300.08 <br /> *Base rent is escalated at a rate of 3% annually <br /> 23 <br />
