any legal remedies it may have for the violation or non-performance of any of the provisions of this agreement. 14. MISCELLANEOUS a) The Association shall be responsible for providing and/or paying for all other fees associated with the operation of its program, including, but not limited to, the payment for umpires, trophies, printing costs and supplies. b) This Agreement, and its exhibits and attachments, shall constitute the entire agreement of the parties and no other written, oral or other agreement shall be binding on either party. c) This Agreement may be modified only by a written agreement signed by both parties. d) All clauses of this Agreement that require performance beyond the expiration or termination of this Agreement shall survive such termination or expiration. e) It is agreed that venue for any lawsuit arising out of this Agreement shall be Snohomish County. f) The Association shall not assign nor transfer all or any portion of this Agreement. g) If any part of this Agreement is found to be in conflict with applicable laws, such part shall be inoperative, null and void, insofar as it is in conflict with said laws, the remainder of the Agreement shall remain in full force and effect. h) Any waiver by the City or the Association of the breach of any provision of this Agreement by the other party will not operate, or be construed, as a waiver of any subsequent breach by either party or prevent either party from thereafter enforcing any such provisions. i) The city of Everett Parks and Facilities Director or designee on behalf of the City may enter into one or more letters of understanding with the Association in the amount of$1,000 or less regarding use of facilities, including but not limited to use of facilities for sponsor advertising during games. Any breach of such a letter of understanding by the Association is also a breach of this Agreement.
