any legal remedies it may have for the violation or non-performance of any of the provisions of this <br /> agreement. <br /> 14. MISCELLANEOUS <br /> a) The Association shall be responsible for providing and/or paying for all other fees associated with the <br /> operation of its program, including, but not limited to, the payment for umpires, trophies, printing costs <br /> and supplies. <br /> b) This Agreement, and its exhibits and attachments, shall constitute the entire agreement of the parties <br /> and no other written, oral or other agreement shall be binding on either party. <br /> c) This Agreement may be modified only by a written agreement signed by both parties. <br /> d) All clauses of this Agreement that require performance beyond the expiration or termination of this <br /> Agreement shall survive such termination or expiration. <br /> e) It is agreed that venue for any lawsuit arising out of this Agreement shall be Snohomish County. <br /> f) The Association shall not assign nor transfer all or any portion of this Agreement. <br /> g) If any part of this Agreement is found to be in conflict with applicable laws, such part shall be <br /> inoperative, null and void, insofar as it is in conflict with said laws, the remainder of the Agreement <br /> shall remain in full force and effect. <br /> h) Any waiver by the City or the Association of the breach of any provision of this Agreement by the <br /> other party will not operate, or be construed, as a waiver of any subsequent breach by either party or <br /> prevent either party from thereafter enforcing any such provisions. <br /> i) The city of Everett Parks and Facilities Director or designee on behalf of the City may enter into one <br /> or more letters of understanding with the Association in the amount of$1,000 or less regarding use of <br /> facilities, including but not limited to use of facilities for sponsor advertising during games. Any breach <br /> of such a letter of understanding by the Association is also a breach of this Agreement. <br />
