PURPOSE & <br />DESCRIPTION: <br />The purpose of the Fiscal Year (FY) 2021 Emergency Management Performance Grant American Rescue Plan Act (21EMPG- <br />ARPA) program is to provide U.S. Department of Homeland Security (DHS)/Federal Emergency Management Agency (FEMA) <br />Federal award funds to states to assist state, local, territorial, and tribal governments in preparing for all hazards through <br />and enhancement of those programs as described in the Work Plan. <br />sustainment <br />The Department is the Recipient and Pass -through Entity of the 21 EMPG-ARPA DHS Award Letter for Grant No. EMS-2021-EP- <br />00008S01, which is incorporated in and attached hereto as Attachment C and has made a subaward of Federal award funds to <br />the Subrecipient pursuant to this Agreement. The Subrecipient is accountable to the Department for use of Federal award funds <br />provided <br />under this Agreement and <br />the <br />associated matching funds. <br />IN WITNESS <br />WHEREOF, the Department and Subrecipient acknowledge and accept the terms of this Agreement, including all <br />referenced <br />Attachments which are hereby incorporated in and made a part hereof, and have executed this Agreement as of the date below. This <br />Agreement Face Sheet; Special Terms & Conditions (Attachment A); General Terms and Conditions (Attachment B); 21 EMPG-ARPA Award <br />Letter EMS-2021-EP-00008-S01 (Attachment C); Work Plan (Attachment D); Timeline (Attachment E); Budget (Attachment F); and all other <br />documents expressly referenced and incorporated herein contain all the terms and conditions agreed upon <br />by the parties <br />and govern the <br />rights and obligations of the parties to this Agreement. No other understandings, oral or otherwise, regarding the subject matter of this <br />Agreement shall be deemed to exist or to bind any of the parties hereto. <br />In the event of an inconsistency in this Agreement, unless otherwise provided herein, the inconsistency shall be resolved by giving <br />precedence in the following order: <br />1.
