5. keys to the Van Valey House, if any; and <br /> 6. the fully executed Termination Agreement. <br /> G. Museum's Escrow Deposits. On or before the Closing Date, the Museum <br /> shall deposit into escrow the following: <br /> 1. a duly executed and completed Real Estate Excise Tax <br /> affidavit; <br /> 2. a nonforeign affidavit pursuant to Section 1445 of the Internal <br /> Revenue Code; and <br /> 3. any other documents that may be reasonably required by <br /> Museum or Closing Agent to close this transfer,duly executed; <br /> H. Closing Costs. On closing, the Museum shall pay real estate excise <br /> taxes, if any; sales tax, if any;the Closing Agent's escrow fee; and the recording fee for the <br /> Deed. The City shall pay applicable prorated items as set forth in Section 1.1 below. The <br /> City and Museum shall prepare a real estate excise tax affidavit as required to close the <br /> transfer. <br /> 1. Prorations. All normal and customarily pro-ratable items, including <br /> without limitation real estate and personal property taxes and utility bills, if any, shall be <br /> prorated as of the date of closing,on the basis of a 365 day year,with the City being charged <br /> and credited for all of same up to the closing date and Museum being charged and credited <br /> for all of same on and after such date. If the actual amounts to be prorated are not known as <br /> of the closing,the prorations shall be made on the basis of the best evidence then available, <br /> and thereafter,when actual figures are received,a cash settlement will be made between the <br /> City and the Museum. <br /> 2. Form 17 Waiver. The Museum waives the right to receive a seller disclosure <br /> statement if required by RCW Ch. 64.06 (the "Form 17," with RCW Ch. 64.06 referred to <br /> as the"Seller Disclosure Statute"); provided, however,that unless the sale of the Van Valey <br /> House is exempt from the Seller Disclosure Statute (pursuant to RCW § 64.06.010 or <br /> otherwise), if the answer to any of the questions in the section of the Form 17 entitled <br /> "Environmental" would be "yes," then the Museum does not waive the receipt of the <br /> "Environmental" section of the Form 17, and such section of the Form 17 is attached to this <br /> Agreement as Exhibit A. The Museum acknowledges and agrees that (i) neither the Form <br /> 17 nor any information or statements set forth therein comprise part of the Agreement and <br /> (ii) pursuant to RCW § 64.06.070, neither the Seller Disclosure Statute nor the Form 17 <br /> gives the Museum any additional rights or remedies except for the right of rescission <br /> exercised on the basis and within the time limits provided by the Seller Disclosure Statute. <br /> 3. Casualty Loss. The City shall immediately give notice to the Museum after <br /> the occurrence of any event causing material damage to the Van Valey House prior to <br /> 4 <br />
