9. Covenant/Deed Restriction. The legal instrument which conveys the property to <br /> DVS shall include a covenant or deed restriction that limits the use of the property to the <br /> provision of housing for the homeless and associated services for a minimum of 30 <br /> years from the date of conveyance. <br /> 10. Third-Party Rights. This Agreement does not create any enforceable rights in any <br /> third parties, or any causes of action by third parties against the parties to this <br /> Agreement. <br /> 11. Compliance with Law. The parties shall comply with all applicable federal, state, <br /> and local laws in the performance of this Agreement. <br /> 12. Complete Agreement. This Agreement contains the complete and integrated <br /> understanding and agreement between the parties regarding the transfer, <br /> redevelopment, and re-use of the Property, provided, however, that this Agreement in no <br /> way binds or obligates the City acting in its regulatory capacity, for example, as the <br /> permitting authority reviewing land use and construction applications, or in the <br /> enforcement of any City ordinance or regulation. <br /> 13. Severability. If any provision of this Agreement is held to be invalid, such <br /> invalidity shall not affect any other provision of this Agreement; provided, however, the <br /> parties shall negotiate in good faith any amendments to this Agreement necessary to <br /> give effect to the parties' original intent. <br /> 14. Amendment or Modification. This Agreement may not be modified except by a <br /> written agreement duly executed by the parties. <br /> 15. Headings for Convenience. The section and subsection headings used in this <br /> Agreement are for convenience only and shall not be used to interpret the Agreement. <br /> 16. Effective Date; Duration. This Agreement supersedes the agreement executed by <br /> the parties July 12, 2010, and becomes effective immediately upon execution by both <br /> parties and remains in effect until terminated as provided in Section 17. <br /> 17. Termination.
