EMPOWER RETIREMENT a. Notify the subcontractor and Plan Sponsor within three days that Empower has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and b.Terminate the subcontract if within three days of receiving actual notice the subcontractor does not stop employing or contracting with the illegal alien, except that Empower shall not terminate the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. Empower shall comply with any reasonable request by the Department of Labor and Employment(the"Department") made in the course of an investigation that the Department is undertaking pursuant to Colo. Rev. Stat. §8-17.5-101 et.seq. If Empower violates the provisions of this section, Plan Sponsor may terminate the Agreement for breach and Empower shall be liable for actual and consequential damages. 12.14. Signatures/Corporate Authenticity. Plan Sponsor has been provided a signature page ("Signature Page") that applies to this Agreement as well as to certain other documents, which are listed thereon. By signing the Signature Page, the parties certify that they have read and understood this Agreement, that they agree to be bound by its terms, and that they have the authority to sign it. This Agreement is not binding on either party until signed by both parties. 12.15. Electronic Signatures. Each party agrees that this Agreement and any other documents to be delivered in connection herewith may be electronically signed, and that any electronic signatures reasonably believed to be genuine on this Agreement or such other documents are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility.
