EMPOWER <br /> RETIREMENT <br /> a. Notify the subcontractor and Plan Sponsor within three days that Empower has actual <br /> knowledge that the subcontractor is employing or contracting with an illegal alien; and <br /> b.Terminate the subcontract if within three days of receiving actual notice the subcontractor <br /> does not stop employing or contracting with the illegal alien, except that Empower shall not <br /> terminate the subcontractor if during such three days the subcontractor provides information <br /> to establish that the subcontractor has not knowingly employed or contracted with an illegal <br /> alien. <br /> Empower shall comply with any reasonable request by the Department of Labor and <br /> Employment(the"Department") made in the course of an investigation that the Department is undertaking <br /> pursuant to Colo. Rev. Stat. §8-17.5-101 et.seq. <br /> If Empower violates the provisions of this section, Plan Sponsor may terminate the <br /> Agreement for breach and Empower shall be liable for actual and consequential damages. <br /> 12.14. Signatures/Corporate Authenticity. Plan Sponsor has been provided a signature page <br /> ("Signature Page") that applies to this Agreement as well as to certain other documents, which are listed <br /> thereon. By signing the Signature Page, the parties certify that they have read and understood this <br /> Agreement, that they agree to be bound by its terms, and that they have the authority to sign it. This <br /> Agreement is not binding on either party until signed by both parties. <br /> 12.15. Electronic Signatures. Each party agrees that this Agreement and any other documents <br /> to be delivered in connection herewith may be electronically signed, and that any electronic signatures <br /> reasonably believed to be genuine on this Agreement or such other documents are the same as handwritten <br /> signatures for the purposes of validity, enforceability, and admissibility. <br /> SAGWTPACOGOV0521 <br /> 14 <br />
